Resolutions on the amendment of the articles of association, merger, division or conversion must be adopted unanimously by the general partners and by limited partners representing at least two thirds of the capital held by the limited partners, unless the articles of association dispense with that unanimity or increase that majority.
The unanimity of general partners plus two thirds of the capital held by limited partners for amendments, mergers, divisions and conversions, and the articles' power to dispense with unanimity or raise the majority, are retained.
