1. For the purposes of this Convention, the term “permanent establishment" means a fixed place of business through which the business of an enterprise is wholly or partly carried on.

2. The term “permanent establishment" includes especially:

f) a mine, an oil or gas well, a quarry or any other place of extraction of natural resources, including a fixed installation or fixed structure used for the exploration or exploitation of natural resources.

3. The term “permanent establishment" likewise encompasses:
3 - A expressão «estabelecimento estável» compreende igualmente:
a) a building site or construction or assembly project or supervisory activities in connection therewith, but only where such site, project or activities continue for a period of more than 6 months;
a) Um estaleiro de construção, um projecto de construção ou de montagem, ou quaisquer actividades conexas de supervisão, sempre que a duração do referido estaleiro, projecto ou actividade exceder seis meses;
b) the furnishing of services including consultancy services, by an enterprise through employees or other personnel, but only where activities of that nature continue (for the same or a connected project) within the country for a period or periods aggregating more than 6 months within any twelve month period.
b) A prestação de serviços, incluindo serviços de consultoria, por uma empresa através de empregados ou de outro pessoal, sempre que as actividades dessa natureza prossigam (em relação ao mesmo projecto ou a um projecto conexo) dentro do país durante um período ou períodos que totalizem mais de 6 meses em qualquer período de 12 meses.
4. Notwithstanding the preceding provisions of this Article, the term “permanent establishment" shall be deemed not to include:

a) the use of facilities solely for the purpose of storage, display or delivery of goods or merchandise belonging to the enterprise;
a) As instalações utilizadas unicamente para armazenar, expor ou entregar bens ou mercadorias pertencentes à empresa;
b) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of storage, display or delivery;
b) Um depósito de bens ou de mercadorias pertencentes à empresa, mantido unicamente para os armazenar, expor ou entregar;
c) the maintenance of a stock of goods or merchandise belonging to the enterprise solely for the purpose of processing by another enterprise;
c) Um depósito de bens ou de mercadorias pertencentes à empresa, mantido unicamente para serem transformadas por outra empresa;
d) the maintenance of a fixed place of business solely for the purpose of purchasing goods or merchandise or of collecting information, for the enterprise;
d) Uma instalação fixa mantida unicamente para comprar bens ou mercadorias ou reunir informações para a empresa;
e) the maintenance of a fixed place of business solely for the purpose of carrying on, for the enterprise, any other activity of a preparatory or auxiliary character;
e) Uma instalação fixa mantida unicamente para exercer, para a empresa, qualquer outra actividade de carácter preparatório ou auxiliar;
f) the maintenance of a fixed place of business solely for any combination of activities mentioned in sub-paragraphs a) to e), provided that the overall activity of the fixed place of business resulting from this combination is of a preparatory or auxiliary character.
f) Uma instalação fixa mantida unicamente para o exercício de qualquer combinação das actividades referidas nas alíneas a) a e), desde que a actividade de conjunto da instalação fixa resultante desta combinação seja de carácter preparatório ou auxiliar.
5. Notwithstanding the provisions of paragraphs 1 and 2, where a person – other than an agent of an independent status to whom paragraph 6 applies – is acting in a Contracting State on behalf of an enterprise of the other Contracting State, that enterprise shall be deemed to have a permanent establishment in the first-mentioned State if the person:
5 - Não obstante o disposto nos n.os 1 e 2, quando uma pessoa, que não seja um agente independente a que é aplicável o n.º 6, actue num Estado Contratante por conta de uma empresa do outro Estado Contratante, considera-se que essa empresa possui um estabelecimento estável no primeiro Estado mencionado desde que essa pessoa:
a) has and habitually exercises in that State an authority to conclude contracts on behalf of the enterprise, unless his activities are limited to the purchase of goods or merchandise for that enterprise; or
a) Tenha e habitualmente exerça nesse Estado poderes para concluir contratos em nome da empresa, a não ser que as suas actividades se limitem à compra de bens ou de mercadorias para essa empresa; ou
b) has no such authority, but habitually maintains in the first-mentioned State a stock of goods or merchandise from which he regularly delivers goods or merchandise on behalf of the enterprise and some additional activities conducted in that State on behalf of the enterprise have contributed to the sale of goods or merchandise.
b) Não detenha esses poderes, mas mantenha habitualmente no primeiro Estado mencionado um depósito de bens ou de mercadorias a partir do qual efectue entregas regulares de bens ou de mercadorias em nome da empresa e certas actividades adicionais conduzidas nesse Estado em nome da empresa tenham contribuído para a venda de bens ou de mercadorias.
6. An enterprise of a Contracting State shall not be deemed to have a permanent establishment in the other Contracting State merely because it carries on business in that other State through a broker, general commission agent or any other agent of an independent status, provided that such persons are acting in the ordinary course of their business. However, when the activities of such an agent are devoted wholly or almost wholly on behalf of that enterprise, he will not be considered an agent of an independent status within the meaning of this paragraph if it is shown that the transactions between the agent and the enterprise were not made under at arm's length conditions.
6 - Não se considera que uma empresa de um Estado Contratante tem um estabelecimento estável no outro Estado Contratante pelo simples facto de exercer a sua actividade nesse outro Estado por intermédio de um corretor, de um comissário-geral ou de qualquer outro agente independente, desde que essas pessoas actuem no âmbito normal da sua actividade. Contudo, quando a actividade desse agente é exercida na totalidade ou na quase totalidade em nome dessa empresa, não será considerado um agente independente nos termos do presente número se se provar que as transacções entre o agente e a empresa não foram realizadas em condições de absoluta independência.
7. The fact that a company which is a resident of a Contracting State controls or is controlled by a company which is a resident of the other Contracting State, or which carries on business in that other State (whether through a permanent establishment or otherwise) shall not of itself constitute either company a permanent establishment of the other.
7 - O facto de uma sociedade residente de um Estado Contratante controlar ou ser controlada por uma sociedade residente do outro Estado Contratante ou que exerce a sua actividade nesse outro Estado (quer seja através de um estabelecimento estável, quer de outro modo) não é, por si, bastante para fazer de qualquer dessas sociedades estabelecimento estável da outra.
