1. Where there are several managers, and unless a clause of the articles of association provides otherwise, their powers are exercised jointly; resolutions obtaining the votes of the majority are deemed valid, and the company is deemed bound by legal transactions concluded by the majority of the managers or ratified by that majority.
2. The preceding paragraph does not prevent the managers from delegating to one or more of their number powers for specific transactions or a type of transaction; however, even in those transactions, the delegated managers bind the company only if the delegation expressly confers that power on them.
3. Notices or declarations by third parties to the company may be addressed to any of the managers, and any provision to the contrary in the articles of association is void.
Joint exercise of powers by majority unless the articles provide otherwise, delegation that binds the company only if it expressly confers that power, and the right of third parties to address any manager (contrary provisions void) are retained.
