1. The company is managed and represented by one or more managers, who may be chosen from among persons who are not members of the company and must be natural persons with full legal capacity.

2. Managers are appointed in the articles of association or subsequently elected by a resolution of the members, unless the articles of association provide for another form of appointment.
2 - Os gerentes são designados no contrato de sociedade ou eleitos posteriormente por deliberação dos sócios, se não estiver prevista no contrato outra forma de designação.
3. For the purposes of registering the appointment of managers, a document evidencing the appointment must be submitted together with, where they are not contained in that document, a declaration of acceptance of the appointment and a declaration stating that the managers are not aware of any circumstances liable to disqualify them from holding office.
3 - Para efeitos de registo da designação dos gerentes, deve ser apresentado documento comprovativo da designação e, quando deste não constem, declaração de aceitação da designação e declaração da qual conste não terem conhecimento de circunstâncias suscetíveis de os inibir para a ocupação do cargo.
4. Where the articles of association confer management on all the members, it is not deemed to be conferred on those who acquire the status of member only subsequently.
4 - A gerência atribuída no contrato a todos os sócios não se entende conferida aos que só posteriormente adquiram esta qualidade.
5. The office of manager is not transferable inter vivos or on death, either on its own or together with the quota interest.

6. Managers may not be represented by others in the exercise of their office, without prejudice to Article 261(2).

7. The preceding paragraphs do not preclude the management from appointing agents or attorneys of the company to perform specific acts or categories of acts, without the need for an express clause in the articles of association.
7 - O disposto nos números anteriores não exclui a faculdade de a gerência nomear mandatários ou procuradores da sociedade para a prática de determinados actos ou categorias de actos, sem necessidade de cláusula contratual expressa.
Managers must be natural persons with full legal capacity and may be non-members; the registration documents and declarations, the non-transferability of the office, the bar on managers being represented (subject to Article 261(2)) and the power to appoint agents or attorneys without an express clause are retained.
