1. A manager of a company who, in breach of the law, proposes to the members for resolution the total or partial redemption of a quota interest encumbered by a right of usufruct or pledge, without the consent of the holder of that right, is punishable by imprisonment for up to 2 years or a fine.

2. The same penalty applies to the member holding the quota interest who promotes the redemption or consents to it, or who, being able to inform the holder of the right of usufruct or pledge of the fact before it is carried out, maliciously fails to do so.
2 - Com a mesma pena será punido o sócio titular da quota que promover a amortização ou para esta der o seu assentimento, ou que, podendo informar do facto, antes de executado, o titular do direito de usufruto ou de penhor, maliciosamente o não fizer.
3. If serious damage, pecuniary or non-pecuniary, which the offender could have foreseen, is caused to the holder of the right of usufruct or pledge, to any member who did not consent to the act or to the company, the penalty is imprisonment for up to 3 years or a fine.

The absence of the right-holder’s consent, the member’s liability for promoting, consenting to or maliciously failing to disclose the redemption, and the list of persons whose serious damage triggers the 3-year penalty are retained.
