1. Except in cases of bankruptcy or of a different agreement between the company and one of its creditors, dissolution of the company does not make its debts due, but the liquidators may pay them early, even where the time limits were set for the benefit of the creditors.

2. Claims against third parties, and against members for debts not covered by the following paragraph, must be called in by the liquidators, even where the time limits were set for the benefit of the company.

3. Clauses deferring payment of contributions lapse on the date of the company’s dissolution, but the liquidators may demand from the members, on account of those debts, only the amounts necessary to meet the company’s liabilities and the liquidation expenses, once the company’s assets have been exhausted, not counting among those assets any disputed claims or claims considered uncollectable.

What we checked in this article

The rule that dissolution does not accelerate the company's debts (save bankruptcy or contrary agreement), the liquidators' option to pay early, their duty to call in claims, and the limits on calling up deferred contributions are retained.
