1. If the company resolves to exercise its right to compensation, the court shall, on the application of one or more members holding at least 5% of the share capital, appoint in the proceedings a person or persons other than those normally entitled to represent the company as its representatives, where the members have not made such an appointment or replacement of the representative appointed by them is justified.
2. Representatives appointed by the court under the preceding paragraph may, where necessary, claim from the company in the same proceedings reimbursement of expenses incurred and remuneration fixed by the court.
3. If the company is wholly unsuccessful in the proceedings, the minority which applied for the appointment of court-appointed representatives must reimburse the company for court costs and other expenses occasioned by that appointment.
Court-appointed representatives require the 5% application threshold; expenses/remuneration and minority reimbursement remain.
