1. Founders, managers and directors are jointly and severally liable to the company for inaccuracies and deficiencies in particulars and declarations supplied for its incorporation, in particular as regards the making of contributions, the acquisition of assets by the company, special benefits and compensation or remuneration payable in connection with incorporation.
1 - Os fundadores, gerentes ou administradores respondem solidariamente para com a sociedade pela inexactidão e deficiência das indicações e declarações prestadas com vista à constituição daquela, designadamente pelo que respeita à realização das entradas, aquisição de bens pela sociedade, vantagens especiais e indemnizações ou retribuições devidas pela constituição da sociedade.
2. Founders, managers and directors who, without fault, are unaware of the facts giving rise to the liability provided for in the preceding paragraph are exempt from that liability.
2 - Ficam exonerados da responsabilidade prevista no número anterior os fundadores, gerentes ou administradores que ignorem, sem culpa, os factos que lhe deram origem.
3. Founders are also jointly and severally liable for all losses caused to the company in connection with the making of contributions, acquisitions of assets before registration of the articles of association or under Article 29, and incorporation expenses, provided that they acted intentionally or with gross negligence.
3 - Os fundadores respondem também solidariamente por todos os danos causados à sociedade com a realização das entradas, as aquisições de bens efectuadas antes do registo do contrato de sociedade ou nos termos do artigo 29.º e as despesas de constituição, contanto que tenham procedido com dolo ou culpa grave.
