1. Companies, subsidiaries and branches required to report on sustainability shall, when publishing the management report and consolidated management report, transmit them simultaneously to the CMVM so that they may be made accessible on the European single access point (ESAP).
1 - As sociedades, filiais e sucursais obrigadas ao relato de sustentabilidade, aquando da publicação do relatório de gestão e do relatório consolidado de gestão, transmitem-nos simultaneamente à CMVM, para efeitos de os tornar acessíveis no ponto de acesso único europeu (ESAP).
2. The management report and consolidated management report shall include, where applicable:
2 - O relatório de gestão e o relatório consolidado de gestão incluem, sempre que aplicável:
a) The information required by Article 8 of Regulation (EU) 2020/852 of the European Parliament and of the Council of 18 June 2020;
a) As informações exigidas pelo artigo 8.º do Regulamento (UE) 2020/852, do Parlamento Europeu e do Conselho, de 18 de junho de 2020;
b) The annual financial statements and consolidated financial statements;
b) As demonstrações financeiras anuais e as demonstrações financeiras consolidadas;
e) Sustainability reports concerning third-country companies and the related assurance opinions;
e) Os relatos de sustentabilidade relativos a sociedades de países terceiros e pareceres de garantia de fiabilidade conexos;
f) The statement that the third-country company has not made available the information necessary for the required sustainability reporting;
f) A declaração de que a sociedade do país terceiro não disponibilizou as informações necessárias ao relato de sustentabilidade exigido;
g) The report on payments to governments and the consolidated report on payments to governments, as applicable.
g) O relatório sobre os pagamentos a administrações públicas e o relatório consolidado sobre os pagamentos a administrações públicas, consoante aplicável.
3. The information referred to in the preceding paragraph shall be:

a) Transmitted in a data-extractable format within the meaning of Article 2, point (3), of Regulation (EU) 2023/2859 of the European Parliament and of the Council of 13 December 2023 or, where required by Union or national law, in a machine-readable format within the meaning of Article 2, point (4), of that Regulation;
a) Transmitidas num formato que permita a extração de dados, na aceção do ponto 3 do artigo 2.º do Regulamento (UE) 2023/2859, do Parlamento Europeu e do Conselho, de 13 de dezembro de 2023, ou, quando tal for exigido pelo direito da União Europeia ou nacional, num formato legível por máquina, na aceção do ponto 4 do artigo 2.º desse regulamento;
i) The business name of the company to which the information relates and, where the reporting company is a subsidiary exempt from sustainability reporting, the name of the parent undertaking reporting at group level;
i) A denominação social da sociedade à qual as informações dizem respeito e, quando a sociedade que comunica as informações for uma filial isenta da obrigação de relato de sustentabilidade, o nome da sociedade-mãe que comunica informações a nível do grupo;
ii) The company's Legal Entity Identifier, as defined in Decree-Law No. 202/2015 of 17 September and, where the reporting company is an exempt subsidiary, that of the parent undertaking reporting at group level;
ii) O identificador designado por Legal Entity Identifier, conforme definido no Decreto-Lei n.º 202/2015, de 17 de setembro, da sociedade e, quando a sociedade que comunica as informações for uma filial isenta, o identificador da sociedade-mãe que comunica informações a nível do grupo;
iii) The size category of the company, specified in accordance with Article 7(4)(d) of Regulation (EU) 2023/2859 of the European Parliament and of the Council of 13 December 2023;
iii) A dimensão da sociedade, por categoria, especificada nos termos da alínea d) do n.º 4 do artigo 7.º do Regulamento (UE) 2023/2859, do Parlamento Europeu e do Conselho, de 13 de dezembro de 2023;
iv) The sectors of the company's economic activities, specified in accordance with point (e) of paragraph 4 of that Article;
iv) Os setores das atividades económicas da sociedade, especificados nos termos da alínea e) do n.º 4 do mesmo artigo;
v) The type of information, classified in accordance with point (c) of paragraph 4 of that Article;
v) O tipo de informação, classificado nos termos da alínea c) do n.º 4 do mesmo artigo;
vi) An indication of whether the information contains personal data.
vi) A indicação sobre se as informações contêm dados pessoais.
4. For the purposes of point (b)(ii) of the preceding paragraph, companies shall obtain the Legal Entity Identifier as defined in Decree-Law No. 202/2015 of 17 September.
4 - Para efeitos do disposto na subalínea ii) da alínea b) do número anterior, as sociedades obtêm o identificador designado por Legal Entity Identifier, conforme definido no Decreto-Lei n.º 202/2015, de 17 de setembro.
5. For the purposes of this Article, the collection body within the meaning of Article 2, point (2), of Regulation (EU) 2023/2859 of the European Parliament and of the Council of 13 December 2023 is the CMVM.
5 - Para efeitos do disposto neste artigo, o organismo de recolha, na aceção do ponto 2 do artigo 2.º do Regulamento (UE) 2023/2859, do Parlamento Europeu e do Conselho, de 13 de dezembro de 2023, é a CMVM.
6. Where a company has transmitted the information referred to in paragraph 1, meeting all metadata requirements laid down in paragraph 2, to the CMVM's information dissemination system in order to make that information accessible on ESAP, the duties laid down in paragraph 1 are deemed satisfied.
6 - Caso uma sociedade tenha transmitido as informações referidas no n.º 1, cumprindo todos os requisitos sobre metadados previstos no n.º 2, ao sistema de difusão de informação da CMVM, a fim de tornar essas informações acessíveis ao ESAP, consideram-se cumpridos os deveres previstos no n.º 1.
