1. Breach of statutory provisions on preparation of the management report, annual accounts and other reporting documents renders the members' resolutions voidable.

#

2. A resolution approving accounts which are themselves irregular is likewise voidable; however, in cases of minor seriousness or where the accounts are easily corrected, the judge shall order annulment only if the accounts are not revised within the period fixed by the judge.

3. Breach of statutory provisions concerning the creation, reinforcement or use of the legal reserve, or of provisions whose sole or principal purpose is to protect creditors or the public interest, nevertheless results in nullity.
