At the moment of signing the Convention concluded this day between Portugal and Switzerland for the avoidance of double taxation with respect to taxes on income and on capital, the undersigned plenipotentiaries have agreed upon the following additional provisions, which shall form an integral part of the Convention:

#

1. With reference to Article 2, it is understood that:

1. Quanto ao artigo 2.º, fica entendido que:

#

(a) the said Convention covers both ordinary and extraordinary taxes on income and on capital;

a) A dita Convenção considera tanto os impostos ordinários como os impostos extraordinários sobre o rendimento e sobre o capital;

#

(b) if a tax on capital is ever introduced in Portugal, the Convention shall apply to it.

#

2. With reference to Article 6 of the Convention, it is understood that its provisions also apply to income from movable (personal) property and to income from services rendered in connection with the maintenance or management of immovable property.

#

3. Notwithstanding paragraph 1 and subparagraph (b) of paragraph 2 of Article 10 of the Convention, dividends received as beneficial owner by a pension fund which is a resident of a Contracting State, in which individuals participate in order to secure retirement, disability or survivors’ benefits, where such fund is established, recognised for tax purposes and supervised in accordance with the laws of that Contracting State, may be taxed in the other Contracting State of which the company paying the dividends is a resident and according to the laws of that State, but the tax so charged shall not exceed 5 per cent of the gross amount of the dividends.

#

4. The provisions of paragraphs 2 and 3 of Article 10 of the Convention and of paragraph 3 of the Additional Protocol shall not affect the taxation of the company in respect of the profits out of which the dividends are paid. The competent authorities of the Contracting States shall by mutual agreement settle the mode of application of the limitations established in the provisions of this paragraph.

#

5. It is understood that the provisions of paragraph 6 of Article 10 do not prevent a State from taxing dividends relating to a holding effectively connected with a permanent establishment operated in that State by a resident of the other State.

#

6. With reference to paragraph 3 of Article 12 of the Convention, it is understood that payments relating to software fall within the definition of “royalties” where less than the full rights to the software are transferred, either where the payments are for the right to use a copyright in software for commercial exploitation (except payments for the right to distribute standardised software copies, not comprising the right either to customise or to reproduce it) or where they relate to software acquired for the business or industrial use of the acquirer when, in the latter case, the software is not completely standardised but adapted to the acquirer.

#

7. With reference to paragraph 8 of Article 11 and paragraph 7 of Article 12 of the Convention, it is understood that this amending Protocol shall not have effect before 1 July 2013.

#

8. It is understood that the term “pensions” used in Articles 18 (“Pensions”) and 19 (“Government service”) of the Convention covers not only periodic payments but also lump-sum payments.

#

9. If, after the date of signature of this amending Protocol to the Convention, Portugal agrees to the introduction of an arbitration clause in a convention for the avoidance of double taxation with a third country, the competent authorities of Portugal and Switzerland may consult each other with a view to discussing the inclusion of a similar dispute-resolution mechanism in Article 25 (“Mutual agreement procedure”) of the Convention.

#

10. With reference to Article 25 bis (“Exchange of information”) of the Convention:

#

(a) it is understood that a request for information will be made only after the requesting Contracting State has exhausted all regular sources of information available under its internal taxation procedure.

#

(b) it is understood that the tax authorities of the requesting State shall provide the following information to the tax authorities of the requested State when making a request for information under Article 25 bis (“Exchange of information”) of the Convention:

#

(i) the identity of the person under examination or investigation;

(i) A identidade da pessoa objeto de um controlo ou de uma investigação;

#

(ii) the period of time for which the information is requested;

(ii) O período a que se reporta o pedido;

#

(iii) a description of the information sought, including its nature and the form in which the requesting State wishes to receive the information from the requested State;

(iii) Uma descrição das informações solicitadas, incluindo a sua natureza e a forma pela qual o Estado requerente pretende receber as informações por parte do Estado requerido;

#

(iv) the tax purpose for which the information is sought;

(iv) A finalidade fiscal com que as informações são solicitadas;

#

(v) to the extent known, the name and address of any person believed to be in possession of the requested information.

#

The reference to “foreseeably relevant” information is intended to provide for exchange of information in tax matters to the widest possible extent while not allowing the Contracting States to engage in “fishing expeditions” or to request information that is unlikely to be relevant to the tax affairs of a given taxpayer. While this subparagraph (b) contains important procedural requirements intended to ensure that fishing expeditions do not occur, clauses (i) to (v) nevertheless are to be interpreted so as not to frustrate effective exchange of information.

#

(c) it is further understood that Article 25 bis (“Exchange of information”) of the Convention does not commit the Contracting States to exchange information on an automatic or spontaneous basis.

#

(d) it is understood that, in the case of an exchange of information, the administrative procedural rules regarding taxpayers’ rights provided for in the requested Contracting State remain applicable before the information is transmitted to the requesting Contracting State. It is further understood that this provision aims at guaranteeing a fair procedure for the taxpayer and not at preventing or unduly delaying the exchange of information process.

#

11. It is understood that, if a tax on capital were introduced in Portugal, the Swiss tax on capital levied in accordance with the provisions of the Convention would be deducted from the Portuguese tax on capital under the conditions laid down in paragraph 1 of Article 23.

Treaty relief between Portugal and Switzerland, claimed correctly

Treaty rates are not automatic in Portugal: the recipient must give the payer a form certified by its own tax authority before the tax is due, or claim a refund afterwards. We check which article applies, the rate and the paperwork.
