1. The common representative, where not designated by law or by testamentary provision, is appointed and may be removed by the joint holders. The relevant resolution is adopted by majority, in accordance with Article 1407(1) of the Civil Code, unless another rule is agreed and notified to the company.
2. The joint holders may designate one of themselves or the spouse of one of them as common representative; a third party may be designated only if the articles of association expressly authorise it or permit members to be represented by third parties in company resolutions.
3. If the appointment of the common representative cannot be obtained in accordance with the preceding paragraphs, any of the joint holders may apply for it to the court of the district in which the company’s registered office is located; any joint holder may apply to the same court for the removal, on grounds of just cause, of a common representative who has not been directly designated by law.
4. The appointment and removal must be notified in writing to the company, which may, even tacitly, waive notification.
5. The common representative may exercise vis-à-vis the company all powers attaching to the undivided quota interest, subject to the following paragraph; any reduction of those powers may be relied on against the company only if notified to it in writing.
6. Except where the law, the will, all the joint holders or the court confer powers of disposal on the common representative, the common representative may not perform acts entailing the extinction, disposal or encumbrance of the quota interest, an increase in obligations, or the waiver or reduction of members’ rights. The conferral of such powers by the joint holders must be notified in writing to the company.
The appointment and removal by majority under Article 1407(1) of the Civil Code, the eligible persons, court appointment and removal for just cause, written notification and its tacit waiver, the opposability rule, and the acts barred without powers of disposal are retained.
