Article 219 Unity and amount of the quota interest

Artigo 219.º · Unidade e montante da quota

Código das Sociedades Comerciais · Decree-Law No. 262/86 · consolidated text checked 26 October 2026

#

1. On the incorporation of the company, each member holds only one quota interest, which corresponds to that member’s contribution.

#

2. In the event of a division of quota interests or a capital increase, each member may receive only one new quota interest. In the latter case, however, the member may be allotted as many quota interests as that member already held.

#

3. The nominal values of quota interests may differ, but none may be less than EUR 1.

#

4. A member’s original quota interest and those that member subsequently acquires are independent. The holder may, however, consolidate them, provided that they are fully paid up and that, under the articles of association, they do not carry different rights and obligations.

#

5. The consolidation must be put in writing, notified to the company and registered.

5 - A unificação deve ser reduzida a escrito, comunicada à sociedade e registada.

#

6. The extent of the rights and obligations attaching to each quota interest is determined by the ratio between its nominal value and that of the share capital, unless by virtue of the law or the articles of association it must be otherwise.

#

7. No certificates representing quota interests may be issued.
