1. An amendment to the articles of association, whether by changing or deleting a provision or by introducing a new provision, may be resolved upon only by the members, except where the law permits that competence also to be conferred on another body.
1 - A alteração do contrato de sociedade, quer por modificação ou supressão de alguma das suas cláusulas quer por introdução de nova cláusula, só pode ser deliberada pelos sócios, salvo quando a lei permita atribuir cumulativamente essa competência a algum outro órgão.
2. A resolution amending the articles of association shall be adopted in accordance with the provisions applicable to each form of company.
2 - A deliberação de alteração do contrato de sociedade será tomada em conformidade com o disposto para cada tipo de sociedade.
3. An amendment to the articles of association must be in writing.
3 - A alteração do contrato de sociedade deve ser reduzida a escrito.
4. For the purposes of the preceding paragraph, the minutes of the relevant resolution suffice, unless that resolution, the law or the articles require another document.
4 - Para efeitos do disposto no número anterior, é suficiente a acta da respectiva deliberação, salvo se esta, a lei ou o contrato de sociedade exigirem outro documento.
5. In the case referred to in the final part of the preceding paragraph, any member of management has a duty, as promptly as possible and without requiring a specific appointment by the members, to perform the acts necessary to amend the articles.
5 - No caso previsto na parte final do número anterior, qualquer membro da administração tem o dever de, com a maior brevidade e sem dependência de especial designação pelos sócios, praticar os actos necessários à alteração do contrato.
