1. An increase in share capital by capitalisation of reserves entails an increase in each member's interest in proportion to its nominal value or respective accounting par value, unless, where a different criterion for allocating profits has been agreed, the articles require that criterion to apply to the capitalisation of reserves or lay down a special criterion for that purpose.
2. In the case of no-par-value shares, the capital increase may be carried out without changing the number of shares.
3. The company's own quota interests or shares participate in this form of capital increase unless the members resolve otherwise.
4. The resolution increasing the capital must state whether new quota interests or shares are created or the nominal value of existing interests is increased, where they have a nominal value; in the absence of such a statement, the number of shares remains unchanged.
5. Where company interests are subject to a usufruct, that usufruct shall attach on the same terms to the new or existing interests.
Proportional interests, agreed alternative allocation, no-par-value shares, treasury interests and usufruct are distinguished.
