1. The articles of association may impose on all or some of the shareholders an obligation to provide performances in addition to their contributions, provided that they lay down the essential elements of that obligation and specify whether the performances are to be provided for consideration or free of charge. Where the content of the obligation corresponds to that of a nominate contract, the statutory rules governing that type of contract apply.

Quando o conteúdo da obrigação corresponder ao de um contrato típico, aplicar-se-á a regulamentação legal própria desse contrato.
2. If the performances stipulated are non-monetary, the company’s right is not transferable.

3. Where it is agreed that the performances are to be provided for consideration, the consideration may be paid irrespective of the existence of profits for the financial year, but may not exceed the value of the respective performance.
3 - No caso de se convencionar a onerosidade, a contraprestação pode ser paga independentemente da existência de lucros do exercício, mas não pode exceder o valor da prestação respectiva.
4. Unless otherwise provided in the articles of association, failure to perform the ancillary obligations does not affect the member’s position as such.

5. Ancillary obligations are extinguished upon the dissolution of the company.
