1. A shareholder who has been refused information requested under Articles 288 and 291, or who has received information that is presumably false, incomplete or unclear, may apply to the court for an inquiry into the company.
1 - O accionista a quem tenha sido recusada informação pedida ao abrigo dos artigos 288.º e 291.º ou que tenha recebido informação presumivelmente falsa, incompleta ou não elucidativa pode requerer ao tribunal inquérito à sociedade.
2. The judge may order that the information requested be provided or may, in accordance with the Code of Civil Procedure, order:
2 - O juiz pode determinar que a informação pedida seja prestada ou pode, conforme o disposto no Código de Processo Civil, ordenar:
a) The removal from office of persons whose liability for acts performed in the exercise of company offices has been established;
a) A destituição de pessoas cuja responsabilidade por actos praticados no exercício de cargos sociais tenha sido apurada;
c) The dissolution of the company, if facts constituting a ground for dissolution under the law or the articles of association are established and dissolution has been requested.
c) A dissolução da sociedade, se forem apurados factos que constituam causa de dissolução, nos termos da lei ou do contrato, e ela tenha sido requerida.
3. The director appointed under point (b) of the preceding paragraph is responsible, as determined by the court, for:
3 - Ao administrador nomeado nos termos previstos na alínea b) do número anterior compete, conforme determinado pelo tribunal:
a) Bringing and pursuing, in the company’s name, liability actions based on facts established in the proceedings;
a) Propor e seguir, em nome da sociedade, acções de responsabilidade, baseadas em factos apurados no processo;
b) Ensuring the management of the company, where this is warranted as a result of removals from office based on point (a) of the preceding paragraph;
b) Assegurar a gestão da sociedade, se, por causa de destituições fundadas na alínea a) do número anterior, for caso disso;
c) Performing the acts essential to restore legality.
c) Praticar os actos indispensáveis para reposição da legalidade.
4. In the case provided for in point (c) of the preceding paragraph, the judge may suspend the other directors who remain in office or prohibit them from interfering in the tasks entrusted to the person appointed.
4 - No caso previsto na alínea c) do número anterior, o juiz pode suspender os restantes administradores que se mantenham em funções ou proibi-los de interferir nas tarefas confiadas à pessoa nomeada.
5. The functions of the director appointed under point (b) of paragraph 2 end:
5 - As funções do administrador nomeado ao abrigo do disposto na alínea b) do n.º 2 terminam:
a) In the cases provided for in points (a) and (c) of paragraph 3, when the judge, having heard the interested parties, considers that the appointment need not continue;
a) Nos casos previstos nas alíneas a) e c) do n.º 3, quando, ouvidos os interessados, o juiz considere desnecessária a sua continuação;
b) In the case provided for in point (b) of paragraph 3, when the new directors are elected.

6. The inquiry may be requested without a prior request for information to the company if the circumstances of the case give reason to presume that the information will not be provided to the shareholder in accordance with the law.
