1 - O contrato de sociedade pode autorizar que, no decurso de um exercício, sejam feitos aos accionistas adiantamentos sobre lucros, desde que observadas as seguinte regras:

#

a) The board of directors or the executive board of directors, with the consent of the supervisory board, the audit committee or the general and supervisory board, decides on the advance;

a) O conselho de administração ou o conselho de administração executivo, com o consentimento do conselho fiscal, da comissão de auditoria ou do conselho geral e de supervisão, resolva o adiantamento;

#

b) The decision of the board of directors or of the executive board of directors is preceded by an interim balance sheet, drawn up no more than 30 days beforehand and certified by the statutory auditor, showing that at that time amounts are available for such advances, which must comply, so far as applicable, with the rules of Articles 32 and 33, taking into account the results recorded during the part already elapsed of the financial year in which the advance is made;

b) A resolução do conselho de administração ou do conselho de administração executivo seja precedida de um balanço intercalar, elaborado com a antecedência máxima de 30 dias e certificado pelo revisor oficial de contas, que demonstre a existência nessa ocasião de importâncias disponíveis para os aludidos adiantamentos, que devem observar, no que seja aplicável, as regras dos artigos 32.º e 33.º, tendo em conta os resultados verificados durante a parte já decorrida do exercício em que o adiantamento é efectuado;

#

c) Only one advance is made during each financial year, and always in the second half of that year;

c) Seja efectuado um só adiantamento no decurso de cada exercício e sempre na segunda metade deste;

#

d) The amounts to be allocated as an advance do not exceed one half of the amounts that would be distributable, referred to in point (b).

d) As importâncias a atribuir como adiantamento não excedam metade das que seriam distribuíveis, referidas na alínea b).

2. If the articles of association are amended to grant the authorisation provided for in the preceding paragraph, the first advance may only be made in the financial year following that in which the amendment occurs.

2 - Se o contrato de sociedade for alterado para nele ser concedida a autorização prevista no número anterior, o primeiro adiantamento apenas pode ser efectuado no exercício seguinte àquele em que ocorrer a alteração contratual.
