1. During the 15 days preceding the date of the general meeting, the following must be made available for inspection by the shareholders at the company’s registered office:
1 - Durante os 15 dias anteriores à data da assembleia geral devem ser facultados à consulta dos accionistas, na sede da sociedade:
a) The full names of the members of the management and supervisory bodies and of the board of the general meeting;
a) Os nomes completos dos membros dos órgãos de administração e de fiscalização, bem como da mesa da assembleia geral;
b) An indication of other companies in which the members of the company’s bodies hold corporate offices, with the exception of professional companies;
b) A indicação de outras sociedades em que os membros dos órgãos sociais exerçam cargos sociais, com excepção das sociedades de profissionais;
c) The proposed resolutions to be submitted to the meeting by the management body, together with the reports or justification that must accompany them;
c) As propostas de deliberação a apresentar à assembleia pelo órgão de administração, bem como os relatórios ou justificação que as devam acompanhar;
d) Where the election of members of the company’s bodies is included in the agenda, the names of the persons to be proposed, their professional qualifications, an indication of the professional activities carried out in the last five years, in particular as regards positions held in other undertakings or in the company itself, and of the number of the company’s shares they hold;
d) Quando estiver incluída na ordem do dia a eleição de membros dos órgãos sociais, os nomes das pessoas a propor, as suas qualificações profissionais, a indicação das actividades profissionais exercidas nos últimos cinco anos, designadamente no que respeita a funções exercidas noutras empresas ou na própria sociedade, e do número de acções da sociedade de que são titulares;
e) In the case of the annual general meeting provided for in Article 376(1), the management report, the annual accounts, the other reporting documents, including the statutory audit report and the opinion of the supervisory board, the audit committee, the general and supervisory board or the committee for financial matters, as the case may be, and also the annual report of the supervisory board, the audit committee or the general and supervisory board and of the committee for financial matters.
e) Quando se trate da assembleia geral anual prevista no n.º 1 do artigo 376.º, o relatório de gestão, as contas do exercício, demais documentos de prestação de contas, incluindo a certificação legal das contas e o parecer do conselho fiscal, da comissão de auditoria, do conselho geral e de supervisão ou da comissão para as matérias financeiras, conforme o caso, e ainda o relatório anual do conselho fiscal, da comissão de auditoria ou do conselho geral e de supervisão e da comissão para as matérias financeiras.
2. The requests for the inclusion of items on the agenda provided for in Article 378 must also be made available for inspection by the shareholders at the company’s registered office.
2 - Devem igualmente ser facultados à consulta dos accionistas, na sede da sociedade, os requerimentos de inclusão de assuntos na ordem do dia, previstos no artigo 378.º
3. The documents provided for in the preceding paragraphs must be sent within eight days:
3 - Os documentos previstos nos números anteriores devem ser enviados, no prazo de oito dias:
a) By letter, to holders of shares corresponding to at least 1% of the share capital who so request;
a) Através de carta, aos titulares de acções correspondentes a, pelo menos, 1% do capital social, que o requeiram;
b) By email, to holders of shares who so request, if the company does not publish them on its website.
b) Através de correio electrónico, aos titulares de acções que o requeiram, se a sociedade não os divulgar no respectivo sítio na Internet.
4. If the company has a website, the documents provided for in paragraphs 1 and 2 must also be available there, from the same date and for one year in the case of points (c), (d) and (e) of paragraph 1 and of paragraph 2, and permanently in the other cases, unless this is prohibited by the articles of association.
4 - Se a sociedade tiver sítio na Internet, os documentos previstos nos n.os 1 e 2 devem também aí estar disponíveis, a partir da mesma data e durante um ano, no caso do previsto nas alíneas c), d) e e) do n.º 1 e no n.º 2, e permanentemente, nos demais casos, salvo se tal for proibido pelos estatutos.
