1. Justification of the situations giving rise to the immediate dissolution of companies referred to in Article 141(2) of the Commercial Companies Code may be declared in a simplified justification procedure.
1 - A justificação das situações de dissolução imediata de sociedades a que se refere o n.º 2 do artigo 141.º do Código das Sociedades Comerciais pode ser declarada em procedimento simplificado de justificação.
2. The procedure is initiated by a written application from the interested parties stating the situation on which the immediate dissolution is based, with confirmation of that fact by three declarants whom the registrar considers credible.
2 - O procedimento inicia-se mediante requerimento escrito dos interessados com alegação da situação que fundamenta a dissolução imediata e confirmação do facto por três declarantes que o conservador considere dignos de crédito.
3. Where the application is made in person before a competent official, it is always made orally and recorded in a formal record (auto), and no written application is required.
3 - Quando o pedido seja efectuado presencialmente perante funcionário competente, esse pedido é sempre verbal e reduzido a auto, não havendo lugar a qualquer requerimento escrito.
4. Where the requirements of the preceding paragraphs are met, the registrar issues a decision declaring the dissolution of the company justified, enters the registration of the dissolution and makes the communications provided for in the legal regime governing the administrative dissolution procedure for commercial entities.
4 - Verificando-se o disposto nos números anteriores, o conservador profere decisão pela qual declara justificada a dissolução da sociedade, lavra o registo da dissolução e promove as comunicações previstas no regime jurídico do procedimento administrativo de dissolução de entidades comerciais.
