1. The authorities competent to scrutinise the legality of the cross-border division are the commercial registry services.
1 - As autoridades competentes para o controlo da legalidade da cisão transfronteiriça são os serviços do registo comercial.
2. Scrutiny of the legality of the cross-border division shall be carried out within a maximum of three months from the date on which the commercial registry services receive the documents and information on approval of the cross-border division by the general meeting of the divided company.
2 - O controlo da legalidade da cisão transfronteiriça é realizado no prazo máximo de três meses a contar da data de receção pelos serviços do registo comercial dos documentos e das informações sobre a aprovação da cisão transfronteiriça pela assembleia geral da sociedade cindida.
3. The commercial registry services must examine the following:

a) The documents submitted under the preceding paragraph;

b) The information that the employee participation procedure has begun, where applicable.

4. The pre-division certificate shall be issued if the commercial registry services establish that the acts and formalities preceding the division have been complied with.

5. The pre-division certificate shall not be issued where the commercial registry services establish:

a) That an act or formality preceding the division has not been complied with, in which case the commercial registry services shall inform the company of the grounds for the decision and may allow it a reasonable period to complete the necessary procedures and formalities;
a) Que não foi cumprido qualquer ato ou formalidade prévia à cisão, caso em que os serviços do registo comercial informam a sociedade dos fundamentos da decisão e podem conceder-lhe um prazo razoável para cumprir os procedimentos e as formalidades necessários.;
b) That, under national law and on a case-by-case assessment, the division pursues abusive or fraudulent purposes leading or intended to lead to fraud on or evasion of European Union or national law, or pursues criminal purposes.
b) Que, nos termos do direito nacional e numa avaliação caso a caso, a cisão prossegue fins abusivos ou fraudulentos, que conduzam ou visem conduzir à fraude ou à evasão ao direito da União Europeia ou ao direito nacional, ou prossegue fins criminosos.
6. The period provided for in paragraph 2 may be extended by a maximum of three months in order to obtain information or carry out additional investigative activities.

7. If, owing to the technical complexity of the cross-border procedure, the commercial registry services do not carry out the assessment within the prescribed periods, the applicant shall be notified of the reasons before those periods expire.
7 - Se os serviços de registo comercial não efetuarem a avaliação dentro dos prazos previstos, devido à complexidade técnica do procedimento transfronteiriço, o requerente é notificado dos motivos antes do termo desses prazos.
