The management of the company to be converted shall draw up draft terms of cross-border conversion, which must contain the following particulars:

a) The legal form, business name and registered office of the company in the departure Member State;
a) A forma jurídica, a firma e a sede da sociedade no Estado-Membro de partida;
b) The proposed legal form, name and registered office of the converted company in the destination Member State and the proposed location of its registered office;
b) A forma jurídica, a denominação e a sede propostas para a sociedade transformada no Estado-Membro de destino e a localização proposta da sua sede estatutária;
c) The instrument of constitution of the company in the destination Member State, where applicable, and its statutes, if these are contained in a separate instrument;
c) O ato constitutivo da sociedade no Estado-Membro de destino, se for o caso, e os estatutos, se estes forem objeto de um ato separado;
d) The proposed indicative timetable for the cross-border conversion;
d) A proposta de calendário indicativo para a transformação transfronteiriça;
e) The rights conferred by the converted company on members enjoying special rights and on holders of securities other than those representing the company’s share capital, or the measures proposed concerning them;
e) Os direitos conferidos pela sociedade transformada aos sócios que gozam de direitos especiais e aos portadores de títulos diferentes dos representativos do capital social da sociedade, ou as medidas propostas em relação aos mesmos;
g) Any special advantages granted to members of the management or supervisory bodies;
g) Quaisquer vantagens especiais concedidas aos membros dos órgãos de administração ou de fiscalização;
h) Any incentives or subsidies received by the company in the departure Member State in the preceding five years;
h) Quaisquer incentivos ou subsídios recebidos pela sociedade no Estado-Membro de partida nos cinco anos anteriores;
i) Information on the cash compensation to be granted to members who voted against approval of the draft terms of conversion, in accordance with Article 140-I;
i) Informações sobre a compensação pecuniária a atribuir aos sócios que votaram contra a aprovação do projeto de transformação, nos termos do artigo 140.º-I;
j) The likely effects of the cross-border conversion on employment relationships;
j) As repercussões prováveis da transformação transfronteiriça nas relações de trabalho;
k) Where applicable, information on the procedures by which arrangements for employees’ involvement in determining their participation rights in the converted company are established.
k) As informações sobre os procedimentos mediante os quais se determinam os regimes de participação dos trabalhadores na definição dos seus direitos de participação na sociedade transformada, quando aplicáveis.
The particulars required in points (a) to (k), including the five-year look-back for incentives or subsidies and the link to cash compensation under Article 140-I, are retained.
