1. The management of the company shall prepare a report justifying the conversion, which shall be accompanied by:

a) The balance sheet for the last financial year, provided that it was closed within the six months preceding the date of the conversion resolution, or a balance sheet drawn up as at a date not earlier than the first day of the third month preceding the date of the conversion resolution;
a) Do balanço do último exercício, desde que tenha sido encerrado nos seis meses anteriores à data da deliberação de transformação ou de um balanço reportado a uma data que não anteceda o 1.º dia do 3.º mês anterior à data da deliberação de transformação;
b) The draft articles of association by which the company will thereafter be governed.
b) Do projecto do contrato pelo qual a sociedade passará a reger-se.
2. In the report referred to in the preceding paragraph, the management must confirm that the company’s assets and liabilities have not undergone significant changes since the date to which the balance sheet used refers or, if they have, indicate the changes that have occurred.
2 - No relatório referido no número anterior, a administração deve assegurar que a situação patrimonial da sociedade não sofreu modificações significativas desde a data a que se reporta o balanço considerado ou, no caso contrário, indicar as que tiverem ocorrido.
3. Articles 99 and 101 apply with the necessary adaptations, and the documents must be available to the members from the date on which the general meeting is called.
3 - Aplica-se, com as necessárias adaptações, o disposto nos artigos 99.º e 101.º, devendo os documentos estar à disposição dos sócios a partir da data de convocação da assembleia geral.
4. The preceding paragraphs do not preclude approval of the conversion in the manner provided for in Article 54, in which case the documents must be available to the members with the advance notice required for calling the meeting.
4 - O disposto nos números anteriores não obsta à aprovação da transformação nos termos previstos no artigo 54.º, devendo neste caso os documentos estar à disposição dos sócios com a antecedência prevista para a convocação da assembleia.
