#

The cross-border conversion takes effect from the date of its registration and entails that:

A transformação transfronteiriça produz efeitos a partir da data do respetivo registo e determina que:

#

a) All the company’s assets and liabilities, including all its contracts, claims, rights and obligations, become those of the converted company;

a) Todo o património da sociedade, incluindo a totalidade dos contratos, créditos, direitos e obrigações, passa a ser da sociedade transformada;

#

b) The company’s members continue to be members of the converted company, unless they voted against approval of the draft terms of conversion and, as a result, opted to dispose of their interest;

b) Os sócios da sociedade continuam a ser sócios da sociedade transformada, salvo se tiverem votado contra a aprovação do projeto de transformação e, em consequência, optado pela alienação da sua participação;

#

c) The company’s rights and obligations arising from contracts of employment or employment relationships existing on the date on which the cross-border conversion begins to produce effects become those of the converted company.

c) Os direitos e as obrigações da sociedade decorrentes de contratos de trabalho ou de relações de trabalho existentes à data em que a transformação transfronteiriça começa a produzir efeitos passam a ser da sociedade transformada.
