1. Approval of the company’s draft terms of cross-border conversion and the adaptation of its statutes must be resolved upon by the members in the manner prescribed for the type of company concerned.
1 - A aprovação do projeto de transformação transfronteiriça da sociedade e a adaptação dos respetivos estatutos deve ser deliberada pelos sócios, nos termos prescritos para o respetivo tipo de sociedade.
2. The general meeting may make completion of the cross-border conversion conditional on that meeting approving the arrangements for employee participation in the company resulting from the conversion.
2 - A assembleia geral pode subordinar a realização da transformação transfronteiriça à condição de serem aprovadas nessa assembleia as disposições relativas à participação dos trabalhadores na sociedade resultante da transformação.
3. Without prejudice to this Code’s provisions on invalidity of the articles of association and members’ resolutions, the following do not constitute grounds for challenging the resolution of the general meeting:
3 - Sem prejuízo do disposto no presente Código em matéria de invalidade do contrato de sociedade e das deliberações dos sócios, não constitui fundamento de impugnação da deliberação da assembleia geral:
a) Inadequacy of the cash compensation offered to members under Article 140-D(i);
a) A fixação inadequada da compensação pecuniária oferecida aos sócios, nos termos da alínea i) do artigo 140.º-D;
b) Failure to comply with statutory requirements in the information provided concerning the compensation referred to in the preceding point.
