1. The authorities competent to scrutinise the legality of cross-border conversions are the commercial registry services.
1 - As autoridades competentes para o controlo da legalidade das transformações transfronteiriças são os serviços do registo comercial.
2. The scrutiny of legality referred to in the preceding paragraph encompasses the following acts:
2 - O controlo da legalidade previsto no número anterior abrange a prática dos seguintes atos:
a) Issuing a pre-conversion certificate attesting compliance with the acts and formalities preceding the conversion as regards the parts of the procedure governed by national law as the law of the departure Member State;
a) A emissão de um certificado prévio à transformação que comprove o cumprimento dos atos e das formalidades anteriores à transformação no que diz respeito às partes do procedimento que se regem pelo direito nacional enquanto Estado-Membro de partida;
b) Scrutiny of the legality of the cross-border conversion where the company seeks to transfer its registration and its registered office to national territory.
b) A fiscalização da legalidade da transformação transfronteiriça quando a sociedade vise transferir o seu registo e a sua sede estatutária para o território nacional.
3. Issuing the certificate referred to in point (a) of the preceding paragraph requires verification of compliance with the formalities preceding the conversion and of the conformity of the particulars listed in Article 74-C(2) of the Commercial Registry Code, in light of the applicable statutory provisions.
3 - A emissão de certificado referido na alínea a) do número anterior pressupõe a verificação do cumprimento das formalidades prévias à transformação e da conformidade dos elementos constantes do n.º 2 do artigo 74.º-C do Código do Registo Comercial, em face das disposições legais aplicáveis.
4. For the purposes of the preceding paragraph, the commercial registry services shall also examine the information, contained in the supporting documentation for the application, that the employee participation process has begun, where applicable.
4 - Para o efeito previsto no número anterior, os serviços do registo comercial examinam, ainda, a informação, constante da documentação instrutória do pedido de que se iniciou o processo de participação dos trabalhadores, se aplicável
5. The scrutiny of legality referred to in paragraph 2(a) shall be carried out within three months from the date of receipt of the application accompanied by all the documents provided for in paragraph 3; for that purpose the commercial registry service may consult other authorities competent in the various fields concerned by the cross-border conversion, including those of the destination Member State, and obtain the necessary information and documents from those authorities and from the company.
5 - O controlo da legalidade previsto na alínea a) do n.º 2 é efetuada no prazo de três meses, a contar da data de receção do respetivo pedido, acompanhado de todos os documentos previstos no n.º 3, podendo o serviço de registo comercial, para esse efeito, consultar outras autoridades com competência nos diferentes domínios abrangidos pela transformação transfronteiriça, incluindo as do Estado-Membro de destino, e obter dessas autoridades e da sociedade as informações e os documentos necessários.
6. The pre-conversion certificate shall be issued if the commercial registry services establish that the acts and formalities preceding the conversion have been complied with.
6 - O certificado prévio é emitido se os serviços do registo comercial verificarem que foram cumpridos os atos e as formalidades prévios à transformação.
7. The pre-conversion certificate shall not be issued where the commercial registry services establish:
7 - O certificado prévio não é emitido sempre que os serviços do registo comercial verifiquem:
a) That an act or formality preceding the conversion has not been complied with, in which case the commercial registry services shall inform the company of the grounds for the decision and may allow it a reasonable period to complete the necessary procedures and formalities; or
a) Que não foi cumprido qualquer ato ou formalidade prévio à transformação, caso em que os serviços do registo comercial informam a sociedade dos fundamentos da decisão e podem conceder-lhe um prazo razoável para cumprir os procedimentos e as formalidades necessários; ou
b) That, under national law and on a case-by-case assessment, the conversion pursues abusive or fraudulent purposes leading or intended to lead to fraud or evasion of European Union or national law, or pursues criminal purposes.
b) Que, nos termos do direito nacional e numa avaliação caso a caso, a transformação prossegue fins abusivos ou fraudulentos, que conduzam ou visem conduzir à fraude ou à evasão ao direito da União Europeia ou ao direito nacional, ou prossegue fins criminosos.
8. If, for the purposes of the scrutiny of legality referred to in the preceding paragraph, additional information must be taken into account or further investigations carried out, the three-month period provided for in paragraph 5 may be extended by a maximum of three months.
8 - Se, para o efeito do controlo da legalidade a que se refere o número anterior, for necessário ter em conta informações suplementares ou realizar outras diligências de investigação, o prazo de três meses previsto no n.º 5 pode ser prorrogado por um período máximo de três meses.
9. If the complexity of the cross-border procedure makes it impossible to carry out the scrutiny of legality within the periods provided for in paragraph 5 and in the preceding paragraph, the commercial registry services shall, before those periods expire, inform the company of the reasons for that impossibility.
9 - Se, devido à complexidade do procedimento transfronteiriço, não for possível efetuar o controlo da legalidade dentro dos prazos previstos no n.º 5 e no número anterior, os serviços de registo comercial, antes do termo desses prazos, informam a sociedade dos fundamentos dessa impossibilidade.
10. For the purposes of paragraph 2(b), the following shall be verified in particular:
10 - Para efeitos do disposto na alínea b) do n.º 2 verificam-se, em especial, os seguintes elementos:
a) Approval of the draft terms of the cross-border conversion by the general meeting;
a) A aprovação do projeto de transformação transfronteiriça pela assembleia geral;
b) Establishment of the employee participation arrangements in accordance with the applicable statutory rules, where such participation is necessary.
b) A fixação das disposições relativas à participação dos trabalhadores, em conformidade com as regras legais aplicáveis, nos casos em que a mesma seja necessária.
11. For the scrutiny referred to in paragraph 2(b), the company must submit the application to register the cross-border conversion to the commercial registry service within six months after issue of the certificate, accompanied by the certificate referred to in point (a) of that paragraph and the draft terms of the cross-border conversion approved by the general meeting.
11 - Para o efeito do controlo referido na alínea b) do n.º 2, o pedido de registo da transformação transfronteiriça deve ser apresentado ao serviço do registo comercial pela sociedade, acompanhado do certificado referido na alínea a) do mesmo número e do projeto de transformação transfronteiriça aprovado pela assembleia geral, no prazo de seis meses após a emissão do certificado.
