1 - A resident of a Contracting State shall be entitled to the benefits of this Convention only if such person is:

b) A Contracting State, a political or administrative subdivision or local authority thereof, or an institution or organization wholly owned by them; or
b) Um Estado Contratante, uma sua subdivisão política ou administrativa ou autarquia local, ou uma instituição ou organização detida na totalidade por esse Estado, subdivisão ou autarquia; ou
i) That is a resident of a Contracting State in whose principal class of shares there is substantial and regular trading on a recognized securities exchange; or
i) Residente de um Estado Contratante, em cuja classe maioritária de acções haja transacção substancial e regular numa bolsa de valores reconhecida; ou
ii) More than 50 percent of each class of whose shares is owned by companies that are residents of either Contracting State, in whose principal class of shares there is substantial and regular trading on a recognized securities exchange, or by persons referred to in subparagraph b); or
ii) Cujas acções de cada classe sejam detidas em mais de 50% por sociedades residentes de um ou do outro Estado Contratante, em cuja classe maioritária de acções haja transacção substancial e regular numa bolsa de valores reconhecida, ou por pessoas referidas na alínea b); ou
d) An organization, trust, or other arrangement referred to in subparagraph 3, b), of the Protocol, provided that more than half of the members, participants, or beneficiaries, if any, in such organization, trust, or arrangement are residents of that Contracting State who are entitled, under this article, to the benefits of this Convention; or
d) Uma organização, fideicomisso (trust) ou outra entidade referida no n.º 3, alínea b), do Protocolo, desde que mais de metade dos membros, dos participantes ou dos beneficiários, se for caso disso, dessa organização, fideicomisso (trust) ou entidade sejam residentes desse Estado Contratante com direito, de acordo com este artigo, aos benefícios da presente Convenção; ou
e) A person with respect to which both of the following conditions are satisfied:
e) Uma pessoa em relação à qual as seguintes condições sejam satisfeitas cumulativamente:
i) The ultimate beneficial owners of more than 50 percent of the beneficial interest in such person (or, in the case of a company, more than 50 percent of the vote and value of each class of the company's shares) are persons entitled to the benefits of this Convention under this paragraph 1 or citizens of the United States; and
i) Os últimos beneficiários efectivos de mais de 50% da participação efectiva nessa pessoa (ou, no caso de uma sociedade, mais de 50% dos votos e do valor de cada classe das acções da sociedade) sejam pessoas com direito aos benefícios da presente Convenção de acordo com o disposto neste n.º 1 ou sejam cidadãos dos Estados Unidos; e
ii) Less than 50 percent of the gross income of such person is used, directly or indirectly, to meet liabilities (including liabilities for interest or royalties) other than to persons entitled to the benefits of this Convention under this paragraph 1 or citizens of the United States.
ii) Menos de 50% do rendimento bruto dessa pessoa seja usado, directa ou indirectamente, para satisfazer obrigações (incluindo as obrigações respeitantes a juros ou royalties) que não sejam obrigações contraídas com pessoas com direito aos benefícios da presente Convenção de acordo com o disposto neste n.º 1 ou cidadãos dos Estados Unidos.
2 - A resident of a Contracting State that is not entitled to the benefits of this Convention under paragraph 1 shall, nevertheless, be entitled to the benefits of this Convention with respect to an item of income derived from the other State if:
2 - Um residente de um Estado Contratante que não tenha direito aos benefícios da presente Convenção de acordo com o n.º 1 terá, não obstante, direito aos benefícios da presente Convenção relativamente a um elemento do rendimento proveniente do outro Estado se:
a) The resident is engaged in the active conduct of a trade or business in the first-mentioned State (other than the business of making or managing investments, unless these activities are banking or insurance activities carried on by a bank or insurance company); and
a) Exercer activamente uma actividade comercial ou industrial no primeiro Estado mencionado (que não seja a realização ou gestão de investimentos, salvo se se tratar de actividades bancárias ou seguradoras levadas a cabo por bancos ou companhias de seguros); e
b) The item of income is connected with or incidental to the trade or business in the first-mentioned State; and
b) O elemento do rendimento estiver em conexão com, ou for acessório da, actividade comercial ou industrial exercida no primeiro Estado mencionado; e
c) Such trade or business is substantial in relation to the activity in the other State that generated the income.
c) Essa actividade comercial ou industrial for substancial relativamente à actividade que gerou o rendimento no outro Estado.
3 - A person that is not entitled to the benefits of the Convention pursuant to the provisions of paragraph 1 or 2 may, nevertheless, be granted the benefits of the Convention if the competent authority of the State in which the income in question arises so determines. For this purpose, one of the factors the competent authorities shall take into account is whether the establishment, acquisition, and maintenance of such person and the conduct of its operations did not have as one of its principal purposes the obtaining of benefits under the Convention.
3 - Uma pessoa que não tenha direito aos benefícios da Convenção, de acordo com o disposto nos n.os 1 ou 2, poderá, não obstante, gozar dos benefícios da Convenção se a autoridade competente do Estado de que provem o rendimento em causa assim determinar. Para este efeito, as autoridades competentes tomarão em consideração, entre outros factores, o facto de a constituição, aquisição e manutenção da referida pessoa e da realização das respectivas operações não ter tido como um dos seus principais objectivos a obtenção dos benefícios ao abrigo da Convenção.
4 - For purposes of subparagraph c) of paragraph 1, the term «recognized securities exchange» means:
4 - Para efeitos da alínea c) do n.º 1, a expressão «mercado de valores reconhecido» significa:
a) The NASDAQ System owned by the National Association of Securities Dealers, Inc., and any stock exchange registered with the Securities and Exchange Commission as a national securities exchange for purposes of the Securities Exchange Act of 1934;
a) O Sistema NASDAQ, pertencente à National Association of Securities Dealers, Inc., e qualquer bolsa de valores registada junto da Comissão de Bolsas e Títulos (Securities and Exchange Commission) como bolsa de valores nacional para efeitos da Lei das Bolsas de Títulos (Securities Exchange Act) de 1934;
c) Any other stock exchange agreed upon by the competent authorities of the Contracting States.
c) Qualquer outra bolsa de valores em que as autoridades competentes dos Estados Contratantes acordem.
5 - For purposes of subparagraph e), ii), of paragraph 1, the term «gross income» means gross receipts, or, where an enterprise is engaged in a business which includes the manufacture or production of goods, gross receipts reduced by the direct costs of labor and materials attributable to such manufacture or production and paid or payable out of such receipts.
5 - Para efeitos da alínea e), ii), do n.º 1, a expressão «rendimento bruto» significa as receitas brutas, ou, quando se trate de uma empresa que desenvolva uma actividade que inclua o fabrico ou a produção de bens, as receitas brutas depois de deduzidos os custos directos de mão-de-obra e de materiais imputáveis ao referido fabrico ou produção e pagos ou pagáveis a partir dessas receitas.
6 - Notwithstanding the provisions of paragraphs 1 through 5, the benefits of this Convention shall not be allowed to any person that is entitled to income tax benefits under the provisions of the legislation and other measures relating to the tax-free zones (zonas francas) of Madeira and Santa Maria Island, or to benefits similar to those provided with respect to such tax-free zones that are made available under any legislation or other measure adopted by either Contracting State after the date of signature of this Convention. The competent authorities shall notify each other of any such legislation or measure and shall consult as to whether such benefits are similar.
6 - Não obstante o disposto nos n.os 1 a 5, os benefícios previstos pela presente Convenção não serão concedidos a nenhuma pessoa com direito aos benefícios respeitantes ao imposto sobre o rendimento nos termos da legislação e de outras medidas relativas às zonas francas da Madeira e da ilha de Santa Maria, ou a benefícios idênticos aos benefícios previstos relativamente às referidas zonas francas que venham a ser concedidos em virtude da legislação ou de outras medidas adoptadas por um Estado Contratante depois da data de assinatura da presente Convenção. As autoridades competentes comunicarão uma à outra as informações respeitantes à referida legislação ou medidas e consultar-se-ão no sentido de determinar se os benefícios são similares.
