1. The issue of the certificate or certificates attesting completion of the acts and formalities preceding the cross-border merger, in respect of the participating company or companies with their registered office in Portuguese territory, may be requested, after registration of the relevant draft terms, at any registry office competent to carry out commercial registration acts.
1 - A emissão do certificado ou dos certificados comprovativos do cumprimento dos actos e formalidades prévias à fusão transfronteiriça, relativamente à sociedade ou às sociedades participantes com sede em território nacional, pode ser solicitada, após o registo do respectivo projecto, em qualquer serviço de registo com competência para a prática de actos de registo comercial.
2. The application for issue of the certificate referred to in the preceding paragraph must be accompanied by the following documents:
2 - O pedido de emissão do certificado previsto no número anterior deve ser instruído com os seguintes documentos:
a) The common draft terms of the cross-border merger provided for in Article 117-C(1) of the Commercial Companies Code;
a) O projeto comum de fusão transfronteiriça, previsto no n.º 1 do artigo 117.º-C do Código das Sociedades Comerciais;
b) Management’s report for members and employees provided for in Article 117-C(2) of the Commercial Companies Code, including the employees’ opinion referred to in paragraph 7 of that Article, in either case where they exist;
b) O relatório da administração destinado aos sócios e aos trabalhadores, previsto no n.º 2 do artigo 117.º-C do Código das Sociedades Comerciais, incluindo o parecer dos trabalhadores a que se refere o n.º 7 do mesmo artigo, em qualquer dos casos se existirem;
c) The report of the statutory auditor or statutory audit firms provided for in Article 117-D(2) and Article 99(4) of the Commercial Companies Code, where it exists;
c) O relatório do revisor ou das sociedades de revisores oficiais de contas, previsto no n.º 2 do artigo 117.º-D e no n.º 4 do artigo 99.º do Código das Sociedades Comerciais, se existir;
d) The comments referred to in Article 100(3)(b) of the Commercial Companies Code, where they exist;
d) As observações a que se refere a alínea b) do n.º 3 do artigo 100.º do Código das Sociedades Comerciais, se existirem;
e) Information on the approval, by the general meeting of each company participating in the merger, of the draft terms referred to in Article 117-F(1) of the Commercial Companies Code;
e) A informação sobre a aprovação, pela assembleia geral de cada uma das sociedades participantes na fusão, dos projetos a que se refere o n.º 1 do artigo 117.º-F do Código das Sociedades Comerciais;
f) Information on compliance with the rules on employee participation laid down in national law, in particular in the Commercial Companies Code and Chapter II of Law No. 19/2009 of 12 May, including with regard to the procedures by which the applicable arrangements, the relevant provisions and any options regarding those provisions are determined.
f) A informação sobre o cumprimento das regras relativas à participação dos trabalhadores previstas na lei nacional, designadamente no Código das Sociedades Comerciais e no capítulo II da Lei n.º 19/2009, de 12 de maio, incluindo no que diz respeito aos procedimentos através dos quais são determinados o regime aplicável, as disposições pertinentes e as eventuais opções quanto a essas disposições.
3. Submission of the documents referred to in the preceding paragraph is not required where they are filed with a national registry office.
