1. The draft terms of merger must be registered and shall be published immediately.
1 - O projecto de fusão deve ser registado, sendo de imediato publicado.
2. The draft terms must be submitted for a resolution of the members of each participating company at a general meeting, whatever the form of company; after registration, the meetings shall be convened to take place at least one month after publication of the notice convening them.
2 - O projecto de fusão deve ser submetido a deliberação dos sócios de cada uma das sociedades participantes, em assembleia geral, seja qual for o tipo de sociedade, sendo as assembleias convocadas, depois de efectuado o registo, para se reunirem decorrido, pelo menos, um mês sobre a data da publicação da convocatória.
a) A statement that the draft terms and accompanying documentation may be inspected at the registered office of each participating company by its members and creditors and by its employees' representatives or, where there are none, its employees;
a) A menção de que o projeto e a documentação anexa podem ser consultados, na sede de cada sociedade participante, pelos respetivos sócios e credores sociais, bem como pelos representantes dos trabalhadores ou, quando estes não existam, pelos trabalhadores da mesma sociedade participante;
b) A notice to the members and creditors of the participating company and to its employees' representatives or, where there are none, its employees that they may submit comments on the draft terms of merger to the company up to five working days before the date set for the general meeting;
b) O aviso aos sócios e credores sociais da respetiva sociedade participante, bem como aos representantes dos trabalhadores ou, quando estes não existam, aos trabalhadores da mesma sociedade participante, de que podem apresentar à sociedade, até cinco dias úteis antes da data designada para a reunião da assembleia geral, observações sobre o projeto de fusão;
4. The notice convening the meeting is published automatically and free of charge simultaneously with publication of registration of the draft terms if the particulars referred to in the preceding paragraph are stated in the application to register the draft terms.
4 - A convocatória é automática e gratuitamente publicada em simultâneo com a publicação do registo do projecto, se os elementos referidos no número anterior forem indicados no pedido de registo do projecto.
5. Publication of registration of the draft terms and of the notice referred to in paragraph 3(b) is arranged by the registry service of its own motion and automatically, and shall state that creditors may object to the merger under Article 101-A.
5 - A publicação do registo do projeto de fusão e do aviso a que se refere a alínea b) do n.º 3 é promovida de forma oficiosa e automática pelo serviço de registo e contém a indicação de que os credores se podem opor à fusão nos termos do artigo 101.º-A.
6. Paragraphs 2 and 3 do not prevent the use of other forms of communication to members provided for the relevant form of company or the adoption of a resolution in accordance with Article 54.
6 - O disposto nos n.os 2 e 3 não obsta à utilização de outras formas de comunicação aos sócios, nos termos previstos para cada tipo de sociedade, bem como à tomada da deliberação nos termos previstos no artigo 54.º
