1. From publication of registration of the draft terms, members, creditors and employees' representatives or, where there are none, employees of any participating company have the right to inspect the following documents at the registered office of each company and obtain full copies free of charge:
1 - A partir da publicação do registo do projecto, os sócios, credores e representantes dos trabalhadores, ou, quando estes não existirem, os trabalhadores de qualquer das sociedades participantes na fusão têm o direito de consultar, na sede de cada uma delas, os seguintes documentos e de obter, sem encargos, cópia integral destes:
b) The report and opinions drawn up by company bodies and experts;
b) Relatório e pareceres elaborados por órgãos da sociedade e por peritos;
c) The accounts, management reports, reports and opinions of supervisory bodies and general meeting resolutions on those accounts for the last three financial years.
c) Contas, relatórios dos órgãos de administração, relatórios e pareceres dos órgãos de fiscalização e deliberações de assembleias gerais sobre essas contas, relativamente aos três últimos exercícios.
2. If, by the date set for the general meeting under the preceding Article, the company's management receives an opinion from employees' representatives on the merger process, that opinion must be annexed to the report prepared by the company bodies and experts.
2 - Se até à data fixada para a reunião da assembleia geral, nos termos do artigo anterior, a administração da sociedade receber um parecer dos representantes dos trabalhadores relativamente ao processo de fusão, este parecer deve ser anexado ao relatório elaborado pelos órgãos da sociedade e pelos peritos.
3. The copies referred to in paragraph 1 may be supplied by email to members who have previously notified the company of their consent to the use of electronic means for communicating information concerning the company.
3 - As cópias a que se refere o n.º 1 podem ser facultadas por correio electrónico aos sócios que tenham comunicado previamente à sociedade o seu consentimento para a utilização de meios electrónicos para a comunicação de informações respeitantes à sociedade.
4. The company is not required to supply copies of the documents referred to in paragraph 1 or send them by email under the preceding paragraph if it makes them available on its website from registration of the draft terms until one year after the general meeting considering the merger, in an electronic format permitting their reliable inspection, saving and printing.
4 - A sociedade não está obrigada a facultar cópias dos documentos a que se refere o n.º 1, nem ao respectivo envio por correio electrónico nos termos do número anterior, caso disponibilize os mesmos no seu sítio da Internet a partir do momento do registo do projecto de fusão e até um ano após a realização da assembleia geral de apreciação da fusão, em formato electrónico que permita a sua consulta, gravação e impressão fidedignas.
5. The preceding paragraph does not prejudice the right of the persons referred to in paragraph 1 to inspect the documents referred to therein at the company's registered office.
5 - O disposto no número anterior não prejudica o direito de as pessoas referidas no n.º 1 consultarem os documentos aí referidos na sede da sociedade.
6. If access to the documentation on the website is unavailable for technical reasons, the company must, without prejudice to the inspection right referred to in the preceding paragraph, supply copies under paragraph 1.
6 - Em caso de indisponibilidade de acesso à documentação através do sítio da Internet por motivos técnicos, deve a sociedade, sem prejuízo do direito de consulta prevista no número anterior, facultar cópias dos documentos nos termos do n.º 1.
