1. The following facts relating to commercial companies and civil-law companies in commercial form are subject to registration:
1 - Estão sujeitos a registo os seguintes factos relativos às sociedades comerciais e sociedades civis sob forma comercial:
b) The resolution of the general meeting, in cases where the law requires it, for the acquisition of assets by the company;
b) A deliberação da assembleia geral, nos casos em que a lei a exige, para aquisição de bens pela sociedade;
c) The consolidation, division and transfer of quota interests in private limited companies, as well as of partnership interests of limited partners in limited partnerships;
c) A unificação, divisão e transmissão de quotas de sociedades por quotas, bem como de partes sociais de sócios comanditários de sociedades em comandita simples;
d) A promise to dispose of or encumber capital interests in general partnerships and limited partnerships and quota interests in private limited companies, as well as pre-emption agreements, if it has been agreed to give them in rem effect, and a pre-emption obligation to which a testator has given the same effect in a testamentary disposition;
d) A promessa de alienação ou de oneração de partes de capital de sociedades em nome colectivo e de sociedades em comandita simples e de quotas de sociedades por quotas, bem como os pactos de preferência, se tiver sido convencionado atribuir-lhes eficácia real, e a obrigação de preferência a que, em disposição de última vontade, o testador tenha atribuído igual eficácia;
e) The transfer of partnership interests in general partnerships and of partnership interests of general partners in limited partnerships, the creation of rights in rem of enjoyment or of security over them and the transfer, modification and extinction of such rights, as well as the attachment (penhora) of the rights to profits and to the liquidation share;
e) A transmissão de partes sociais de sociedades em nome colectivo, de partes sociais de sócios comanditados de sociedades em comandita simples, a constituição de direitos reais de gozo ou de garantia sobre elas e a sua transmissão, modificação e extinção, bem como a penhora dos direitos aos lucros e à quota de liquidação;
f) The creation and transfer of a usufruct, the pledge, the preventive attachment (arresto), the inventory attachment (arrolamento), the attachment (penhora) and the seizure in criminal proceedings of quota interests or rights over them, and any other acts or measures affecting their free disposal, in particular a declaration of insolvency in respect of quota interests or rights forming part of the insolvency estate;
f) A constituição e a transmissão de usufruto, o penhor, o arresto, o arrolamento, a penhora e a apreensão em processo penal de quotas ou direitos sobre elas e ainda quaisquer outros atos ou providências que afetem a sua livre disposição, designadamente a declaração de insolvência relativamente a quotas ou direitos que integrem a massa insolvente;
g) The withdrawal and exclusion of members of general partnerships and of limited partnerships and partnerships limited by shares (sociedades em comandita), as well as the extinction of a partnership interest upon the death of the member and the admission of new members with unlimited liability;
g) A exoneração e exclusão de sócios de sociedades em nome colectivo e de sociedades em comandita, bem como a extinção de parte social por falecimento do sócio e a admissão de novos sócios de responsabilidade ilimitada;
i) The redemption of quota interests and the exclusion and withdrawal of members of private limited companies;
i) A amortização de quotas e a exclusão e exoneração de sócios de sociedades por quotas;
j) A resolution on the redemption (amortização), conversion and redemption (remissão) of shares;
j) A deliberação de amortização, conversão e remissão de acções;
l) The issue of bonds, when carried out by way of a private offer, unless, within the period for applying for registration, the bonds have been admitted to trading on a regulated securities market;
l) A emissão de obrigações, quando realizada através de oferta particular, excepto se tiver ocorrido, dentro do prazo para requerer o registo, a admissão das mesmas à negociação em mercado regulamentado de valores mobiliários;
m) The appointment and termination of office, for any reason other than the expiry of the term, of members of the management and supervisory bodies of companies, as well as of the company secretary;
m) A designação e cessação de funções, por qualquer causa que não seja o decurso do tempo, dos membros dos órgãos de administração e de fiscalização das sociedades, bem como do secretário da sociedade;
n) The filing of accounts of public limited companies, private limited companies and partnerships limited by shares, as well as of general partnerships and limited partnerships where the accounts are required to be deposited, and of consolidated accounts of companies required to present them;
n) A prestação de contas das sociedades anónimas, por quotas e em comandita por acções, bem como das sociedades em nome colectivo e em comandita simples quando houver lugar a depósito, e de contas consolidadas de sociedades obrigadas a prestá-las;
o) A change of the company’s registered office and the transfer of the registered office abroad;
o) A mudança da sede da sociedade e a transferência de sede para o estrangeiro;
p) The draft terms of a domestic or cross-border merger, the draft terms of a domestic or cross-border division and the draft terms of a cross-border conversion of companies, as well as the notice to members, creditors and employee representatives or, where there are none, to the employees themselves, of the possibility of submitting comments on the draft terms of the cross-border merger, division or conversion;
p) O projeto de fusão interna ou transfronteiriça, o projeto de cisão interna ou transfronteiriça e o projeto de transformação transfronteiriça de sociedades, bem como o aviso aos sócios, credores e representantes dos trabalhadores, ou, quando estes não existam, aos próprios trabalhadores, da possibilidade de apresentação de observações ao projeto de fusão, de cisão ou de transformação transfronteiriças;
q) The draft terms for the formation of a European public limited-liability company (SE) by merger, the draft terms for the formation of an SE by conversion of a public limited company governed by domestic law and the draft terms for the formation of a holding SE, as well as the verification of the conditions on which the latter formation depends;
q) O projecto de constituição de uma sociedade anónima europeia por meio de fusão, o projecto de constituição de uma sociedade anónima europeia por meio de transformação de sociedade anónima de direito interno e o projecto de constituição de uma sociedade anónima europeia gestora de participações sociais, bem como a verificação das condições de que depende esta última constituição;
r) The extension of duration, the domestic or cross-border merger, the domestic or cross-border division, the domestic or cross-border conversion and the dissolution of companies, as well as the increase, reduction or restoration of the share capital and any other amendment to the articles of association;
r) A prorrogação, a fusão interna ou transfronteiriça, a cisão interna ou transfronteiriça, a transformação interna ou transfronteiriça e a dissolução das sociedades, bem como o aumento, a redução ou a reintegração do capital social e qualquer outra alteração ao contrato de sociedade;
s) The appointment and termination of office, prior to the closure of the liquidation, of the liquidators of companies, as well as acts modifying the statutory or contractual powers of the liquidators;
s) A designação e cessação de funções, anterior ao encerramento da liquidação, dos liquidatários das sociedades, bem como os actos de modificação dos poderes legais ou contratuais dos liquidatários;
t) The closure of the liquidation or the company’s return to business;
t) O encerramento da liquidação ou o regresso à actividade da sociedade;
u) A resolution to maintain the total control of one company by another, in a group relationship, as well as the end of that situation;
u) A deliberação de manutenção do domínio total de uma sociedade por outra, em relação de grupo, bem como o termo dessa situação;
v) The subordination agreement, its amendments and its termination.
v) O contrato de subordinação, suas modificações e seu termo.
z) The issue of warrants on own securities, when carried out by way of a private offer by an entity that has no securities admitted to trading on a national regulated market, unless, within the period for applying for registration, the warrants have been admitted to trading on a regulated securities market.
z) A emissão de warrants sobre valores mobiliários próprios, quando realizada através de oferta particular por entidade que não tenha valores mobiliários admitidos à negociação em mercado regulamentado nacional, excepto se tiver ocorrido, dentro do prazo para requerer o registo, a admissão dos mesmos à negociação em mercado regulamentado de valores mobiliários.
2. The following facts relating to European public limited-liability companies (SE) are subject to registration:

b) The filing of the annual accounts and, where applicable, of the consolidated accounts;
b) A prestação das contas anuais e, se for caso disso, das contas consolidadas;
c) The draft terms for the transfer of the registered office to another Member State of the European Union;
c) O projecto de transferência da sede para outro Estado membro da União Europeia;
e) The draft terms of conversion into a public limited company governed by domestic law;
e) O projecto de transformação em sociedade anónima de direito interno;
f) The conversion referred to in the preceding point;
f) A transformação a que se refere a alínea anterior;
h) The closure of the liquidation or the company’s return to business;
h) O encerramento da liquidação ou o regresso à actividade da sociedade;
i) Other facts relating to public limited companies that are subject to registration by law.

All points (a) to (z) of paragraph 1 (with (h) and (x) repealed) and points (a) to (i) of paragraph 2 are retained, together with their qualifications: the private-offer exceptions in points (l) and (z), terminations for any reason other than expiry of the term, the deposit condition for partnerships' accounts and the in rem effect condition in point (d).
