1. The certificates referred to in Article 8(8) and Article 25(2) of Council Regulation (EC) No 2157/2001 of 8 October shall, in particular, refer to the verification of completion of each of the acts and formalities preceding, respectively, the transfer of the registered office of a European public limited-liability company to another Member State of the European Union or the formation of a European public limited-liability company by merger, as required by that Regulation, by the national legislation adopted to implement it or by the national legislation applicable to public limited companies governed by domestic law, identifying the documents evidencing such verification.
1 - Os certificados a que se referem o n.º 8 do artigo 8.º e o n.º 2 do artigo 25.º do Regulamento (CE) n.º 2157/2001, do Conselho, de 8 de Outubro, devem, em especial, fazer referência à verificação do cumprimento de cada um dos actos e formalidades prévios, respectivamente, à transferência da sede de sociedade anónima europeia para outro Estado membro da União Europeia ou à constituição de sociedade anónima europeia por fusão, exigidos por aquele regulamento, pela legislação nacional adoptada em sua execução ou ainda pela legislação nacional aplicável às sociedades anónimas de direito interno, identificando os documentos que comprovem tal verificação.
2. Where the same registry office is competent to scrutinise the legality of compliance by the participating Portuguese companies with the acts and formalities preceding the merger and to scrutinise the legality of the procedure as regards the merger and the formation of the European public limited-liability company with its registered office in Portugal, both scrutinies may be carried out upon registration of that formation.
2 - Nos casos em que a mesma conservatória seja competente para controlar a legalidade do cumprimento, pelas sociedades portuguesas participantes, dos actos e formalidades prévias à fusão e para o controlo da legalidade do processo na parte que respeita à fusão e à constituição da sociedade anónima europeia com sede em Portugal, ambos os controlos podem ser efectuados aquando do registo daquela constituição.
