1. Registration by transcription must be refused in the following cases:
1 - O registo por transcrição deve ser recusado nos seguintes casos:
b) Where it is manifest that the fact is not evidenced by the title documents filed;
b) Quando for manifesto que o facto não está titulado nos documentos apresentados;
c) Where it is found that the fact stated in the document is already registered or is not subject to registration;
c) Quando se verifique que o facto constante do documento já está registado ou não está sujeito a registo;
e) Where the registration has already been made as provisional for doubts and those doubts have not been removed;
e) Quando o registo já tiver sido lavrado como provisório por dúvidas e estas não se mostrem removidas;
h) Where the entity is in breach of the obligation to register the filing of accounts, without prejudice to the exceptions provided for in Article 17(3), and does not make that registration within the period set for remedying deficiencies.
h) Quando a entidade se encontrar em incumprimento quanto à obrigação do registo da prestação de contas, sem prejuízo das exceções previstas no n.º 3 do artigo 17.º, e não proceder ao referido registo durante o prazo fixado para o suprimento de deficiências.
2. The following are also grounds for refusing registration of the commencement or change of business of a sole trader, or registration of the appointment or reappointment to the office of manager, director or other member of a corporate body subject to registration:
2 - É ainda fundamento de recusa do registo de início ou alteração de atividade do comerciante individual ou do registo de nomeação ou de recondução no cargo de gerente, de administrador ou de outro membro de órgão social sujeito a registo:
a) The absence of a declaration stating that the person has no knowledge of any circumstances liable to disqualify them from holding the office; or
a) A ausência de declaração da qual conste não ter conhecimento de circunstâncias suscetíveis de o inibir para o exercício do cargo; ou
b) The existence, in the database of disqualifications and removals from office or in the registers of other Member States, of a bar to holding the office, in particular to the functions of binding the company vis-à-vis third parties, representing the company in court and taking part in the management, oversight or supervision of the company.
b) A existência, na base de dados de inibições e destituições ou nos registos de outros Estados-Membros, de impedimento para exercício do cargo, designadamente para as funções de vinculação da sociedade para com terceiros, para representação da sociedade em juízo e para participação na administração, na vigilância ou na fiscalização da sociedade.
3. Apart from the cases provided for in the preceding paragraphs, registration may only be refused if, owing to a lack of particulars or the nature of the act, it cannot be made as provisional for doubts.
3 - Além dos casos previstos nos números anteriores, o registo só pode ser recusado se, por falta de elementos ou pela natureza do ato, não puder ser feito como provisório por dúvidas.
The surviving grounds for refusal in paragraph 1 (points (b) to (e) and (h)), the two additional grounds for appointments and sole-trader registrations in paragraph 2, and the residual rule that refusal applies only where provisional registration for doubts is impossible are retained.
