2. Registration of the decision closing the insolvency proceedings, where it concerns a commercial company or a civil company in commercial form, triggers ex officio:
2 - O registo da decisão de encerramento do processo de insolvência, quando respeitante a sociedade comercial ou sociedade civil sob forma comercial, determina a realização oficiosa:
a) Registration of the company’s return to business, where closure of the proceedings was based on court approval of an insolvency plan providing for the company’s continuation;
a) Do registo de regresso à actividade da sociedade, quando o encerramento do processo se baseou na homologação de um plano de insolvência que preveja a continuidade daquela;
b) Cancellation of the company’s registration file, in cases where closure of the proceedings was declared after the final distribution (rateio final) had been made.
b) Do cancelamento da matrícula da sociedade, nos casos em que o encerramento do processo foi declarado após a realização do rateio final.
3. The registration referred to in the preceding paragraph also triggers, whatever the entity concerned, ex officio registration of the termination of office of the insolvency administrator, except where there is a court-approved insolvency plan conferring powers on the administrator and also in the cases referred to in point (b) of the preceding paragraph.
3 - O registo referido no número anterior determina ainda, qualquer que seja a entidade a que respeite, a realização oficiosa do registo de cessação de funções do administrador judicial da insolvência, salvo nos casos em que exista plano de insolvência homologado e este lhe confira competências e ainda nos casos a que se refere a alínea b) do número anterior.
4. Registration of the cancellation of the represented company triggers ex officio cancellation of the registration file of the permanent representation established in Portugal, following notification from the competent register of the relevant Member State of the European Union through the system of interconnection of registers of the European Union.
4 - O registo do cancelamento da sociedade representada determina a realização oficiosa do cancelamento da matrícula da representação permanente criada em Portugal na sequência da comunicação do competente registo do respetivo Estado-Membro da União Europeia, através do sistema de interconexão dos registos da União Europeia.
5. The preceding paragraph does not apply where the registration of the represented company was cancelled following a cross-border conversion, merger, division or transfer of registered office.
5 - O disposto no número anterior não é aplicável nos casos em que o registo da sociedade representada tenha sido cancelado na sequência de transformação, fusão, cisão ou mudança de sede transfronteiriça.
The ex officio registrations triggered by closure of insolvency proceedings (return to business or cancellation after the final distribution), the exceptions to registering the insolvency administrator's termination of office, and the exclusion of cross-border operations from paragraph 4 are retained.
