1. Registration of a domestic division in the divided company triggers ex officio registration of the incorporation of the new companies resulting from the division.
1 - O registo da cisão interna na sociedade cindida determina a realização oficiosa do registo de constituição das novas sociedades resultantes da cisão.
2. In the case of registration of a cross-border division, the preceding paragraph applies to the companies participating in the division that have their registered office in Portuguese territory.
2 - No caso do registo da cisão transfronteiriça, aplica-se o disposto no número anterior às sociedades participantes na cisão que tenham sede em território nacional.
3. Registration of a cross-border division in the divided company triggers notification of that fact and of the resulting commencement of its effects, through the system of interconnection of registers of the European Union, to the competent registers of the Member States of the registered office of the new companies resulting from the division or of the recipient companies.
3 - O registo de cisão transfronteiriça na sociedade cindida determina a notificação desse facto e do consequente início de produção de efeitos, através do sistema de interconexão dos registos da União Europeia, aos registos competentes dos Estados-Membros da sede das novas sociedades resultantes da cisão ou das sociedades beneficiárias.
4. Receipt of the notification of the commencement of the effects of a cross-border division provided for in the preceding paragraph, made by the competent register of the relevant Member State of the European Union, triggers ex officio registration of the incorporation of the recipient companies and notification of that fact, through the system of interconnection of registers of the European Union, to the competent register of the Member State of the divided company.
4 - A receção da notificação do início da produção de efeitos de cisão transfronteiriça, prevista no número anterior, efetuada por registo competente do respetivo Estado-Membro da União Europeia, determina a realização oficiosa do registo de constituição das sociedades beneficiárias e a notificação desse facto, através do sistema de interconexão dos registos da União Europeia, ao registo competente do Estado-Membro da sociedade cindida.
5. Receipt of all the notifications to be made by the competent registers of the Member States of the recipient companies under the preceding paragraph triggers cancellation of the registration file of the wholly divided company that has its registered office in Portuguese territory.
5 - A receção de todas as notificações a efetuar pelos registos competentes dos Estados-Membros das sociedades beneficiárias, nos termos do número anterior, determina o cancelamento da matrícula da sociedade totalmente cindida que esteja sediada em território nacional.
