1. Registration of a domestic merger in the acquiring entity, or registration of the new entity resulting from the domestic merger, triggers ex officio registration of the merger in the entities acquired or merged into the new entity.
1 - O registo da fusão interna na entidade incorporante ou o registo da nova entidade resultante da fusão interna determina a realização oficiosa do registo da fusão nas entidades incorporadas ou fundidas na nova entidade.
2. In the case of registration of a cross-border merger, the preceding paragraph applies to the companies participating in the merger that have their registered office in Portuguese territory.
2 - No caso do registo da fusão transfronteiriça, aplica-se o disposto no número anterior às sociedades participantes na fusão que tenham sede em território nacional.
3. Registration of a cross-border merger in the acquiring company, or of the incorporation of the new company resulting from the merger, triggers notification of that fact and of the resulting commencement of its effects, through the system of interconnection of registers of the European Union, to the competent registers of the Member States in which the participating companies have their registered office.
3 - O registo de fusão transfronteiriça na sociedade incorporante, ou de constituição da nova sociedade resultante da fusão, determina a notificação desse facto e do consequente início de produção de efeitos, através do sistema de interconexão dos registos da União Europeia, aos registos competentes dos Estados-Membros onde estejam sediadas as sociedades participantes.
4. Receipt of notification of the commencement of the effects of a cross-border merger, made by the competent register of the relevant Member State of the European Union, triggers ex officio registration of the cross-border merger and cancellation of the registration files of the companies participating in the merger that have their registered office in Portuguese territory.
4 - A receção de notificação do início da produção de efeitos de fusão transfronteiriça, efetuada por registo competente do respetivo Estado-Membro da União Europeia, determina a realização oficiosa do registo da fusão transfronteiriça e o cancelamento da matrícula das sociedades participantes na fusão que estejam sediadas em território nacional.
The ex officio registration in the merged entities, its extension to Portuguese participants in a cross-border merger, and the notification and cancellation steps through the EU system of interconnection of registers are retained.
