1. Shareholders’ agreements entered into between all or some members by which they undertake, in that capacity, to act in a manner not prohibited by law have effect between the parties to them, but may not be relied upon to challenge acts of the company or acts of members in relation to the company.
1 - Os acordos parassociais celebrados entre todos ou entre alguns sócios pelos quais estes, nessa qualidade, se obriguem a uma conduta não proibida por lei têm efeitos entre os intervenientes, mas com base neles não podem ser impugnados actos da sociedade ou dos sócios para com a sociedade.
2. The agreements referred to in the preceding paragraph may concern the exercise of voting rights, but not the conduct of the parties or other persons in the performance of management or supervisory functions.

3. Agreements by which a member undertakes to vote in any of the following ways are void:

a) Always following the instructions of the company or one of its bodies;
a) Seguindo sempre as instruções da sociedade ou de um dos seus órgãos;
c) Exercising or abstaining from exercising voting rights in return for special benefits.
c) Exercendo o direito de voto ou abstendo-se de o exercer em contrapartida de vantagens especiais.
Inter-party effect is distinguished from challenges to corporate acts; management/supervisory conduct is excluded.
