Portugal’s Beneficial Ownership Register (RCBE) in English

Every Portuguese company must declare who ultimately owns and controls it to the Registo Central do Beneficiário Efetivo, keep that declaration current and confirm it every year. Here is the full legal regime, article by article, in English with the official Portuguese alongside.

The regime and the law that approved it

The rules live in the annex to Law No. 89/2017: who must declare, what, when, who can see it and what happens if you do not. The approving law adds the transitional rules and the link to company formation.

Terminology

Key terms

The translation follows the same glossary as our Commercial Companies Code for company-law terms, and the vocabulary of the EU anti-money laundering directives for the rest.

beneficiário efetivo → beneficial owner
The natural person who ultimately owns or controls the entity, determined under Law No. 83/2017 (the anti-money laundering law).
entidade sujeita → entity subject to the register
Companies, foundations, associations, trusts and other arrangements that must declare their beneficial owners.
entidade gestora → managing entity
The Institute of Registries and Notary (IRN, I. P.), which runs the register.
declaração inicial / atualização / confirmação anual → initial declaration / update / annual confirmation
The three moments at which information must be filed.
entidades obrigadas → obliged entities
Banks, lawyers, accountants and others bound by the anti-money laundering rules, who may consult the register.
fundos fiduciários → trusts
Including legal arrangements without legal personality (centros de interesses coletivos sem personalidade jurídica).
coima → administrative fine
Penalty for an administrative offence (contraordenação), distinct from a criminal fine.

The Portuguese text

The Portuguese column is the consolidated text published in the Diário da República, including the amendments made by Law No. 58/2020 and Decree-Law No. 115/2025. Every line was matched against that consolidation on 26 October 2026.

The English text

Each provision is translated separately and aligned with its Portuguese counterpart, then checked by a second translator for conditions, deadlines, access rules, penalties and cross-references.
