1. The board of directors consists of the number of directors fixed in the articles of association.
1 - O conselho de administração é composto pelo número de administradores fixado no contrato de sociedade.
2. The articles of association may provide that the company has a single director, provided that the share capital does not exceed EUR 200,000; the provisions on the board of directors that do not presuppose a plurality of directors apply to the sole director.
2 - O contrato de sociedade pode dispor que a sociedade tenha um só administrador, desde que o capital social não exceda 200000 euros; aplicam-se ao administrador único as disposições relativas ao conselho de administração que não pressuponham a pluralidade de administradores.
3. Directors need not be shareholders, but must be natural persons with full legal capacity.
3 - Os administradores podem não ser accionistas, mas devem ser pessoas singulares com capacidade jurídica plena.
4. If a legal person is appointed as a director, it must nominate a natural person to hold the office in that person’s own name; the legal person is jointly and severally liable with the person so nominated for that person’s acts.
4 - Se uma pessoa colectiva for designada administrador, deve nomear uma pessoa singular para exercer o cargo em nome próprio; a pessoa colectiva responde solidariamente com a pessoa designada pelos actos desta.
5. The articles of association may authorise the election of alternate directors, up to a number equal to one third of the number of full directors.
5 - O contrato de sociedade pode autorizar a eleição de administradores suplentes, até número igual a um terço do número de administradores efectivos.
