1. The sole supervisor, the statutory auditor or the members of the supervisory board, where one exists, have a duty to:
1 - O fiscal único, o revisor oficial de contas ou os membros do conselho fiscal, quando este exista, têm o dever de:
a) Take part in the meetings of the board and attend general meetings, as well as meetings of the management to which they are called by its chair or at which the annual accounts are considered;
a) Participar nas reuniões do conselho e assistir às assembleias gerais e bem assim às reuniões da administração para que o presidente da mesma os convoque ou em que se apreciem as contas do exercício;
b) Carry out conscientious and impartial supervision;
b) Exercer uma fiscalização conscienciosa e imparcial;
c) Keep secret the facts and information that come to their knowledge by reason of their duties, without prejudice to the duty set out in paragraph 3 of this Article;
c) Guardar segredo dos factos e informações de que tiverem conhecimento em razão das suas funções, sem prejuízo do dever enunciado no n.º 3 deste artigo;
d) Inform the management of the checks, inspections and steps they have carried out and of their results;
d) Dar conhecimento à administração das verificações, fiscalizações e diligências que tenham feito e do resultado das mesmas;
e) Report, at the first general meeting held, all irregularities and inaccuracies found by them, and also whether they obtained the clarifications they needed for the performance of their duties.
e) Informar, na primeira assembleia que se realize, de todas as irregularidades e inexactidões por eles verificadas, e bem assim se obtiveram os esclarecimentos de que necessitaram para o desempenho das suas funções.
f) Record in writing all checks, inspections, complaints received and steps taken, and their results.
f) Registar por escrito todas as verificações, fiscalizações, denúncias recebidas e diligências que tenham sido efectuadas e o resultado das mesmas.
2. The sole supervisor, the statutory auditor and the members of the supervisory board may not, save with the express authorisation of the general meeting, take advantage of commercial or industrial secrets that have come to their knowledge in the performance of their duties.
2 - O fiscal único, o revisor oficial de contas e os membros do conselho fiscal não podem aproveitar-se, salvo autorização expressa da assembleia geral, de segredos comerciais ou industriais de que tenham tomado conhecimento no desempenho das suas funções.
3. The sole supervisor, the statutory auditor and the members of the supervisory board shall report to the Public Prosecution Service any criminal acts that have come to their knowledge and that constitute public offences (crimes públicos).
3 - O fiscal único, o revisor oficial de contas e os membros do conselho fiscal devem participar ao Ministério Público os factos delituosos de que tenham tomado conhecimento e que constituam crimes públicos.
4. The sole supervisor, the statutory auditor and the members of the supervisory board who, without justified reason, fail during the financial year to attend two meetings of the board, or fail to attend one general meeting or two meetings of the management provided for in point (a) of paragraph 1 of this Article, lose their office.
4 - Perdem o seu cargo o fiscal único, o revisor oficial de contas e os membros do conselho fiscal que, sem motivo justificado, não assistam, durante o exercício social, a duas reuniões do conselho ou não compareçam a uma assembleia geral ou a duas reuniões da administração previstas na alínea a) do n.º 1 deste artigo.
