1. The full members of the supervisory board, the alternates, the sole supervisor and the statutory auditor are elected by the general meeting for the period laid down in the articles of association, which may not exceed four years, and the first appointment may be made in the articles of association or by the constituent meeting; where the period for which they were elected is not stated, the appointment is deemed to be made for four years.
1 - Os membros efectivos do conselho fiscal, os suplentes, o fiscal único e o revisor oficial de contas são eleitos pela assembleia geral, pelo período estabelecido no contrato de sociedade, mas não superior a quatro anos, podendo a primeira designação ser feita no contrato de sociedade ou pela assembleia constitutiva; na falta de indicação do período por que foram eleitos, entende-se que a nomeação é feita por quatro anos.
2. The articles of association or the general meeting designate which of the full members is to serve as chair; if the chair ceases to hold office before the end of the period for which they were appointed or elected, the other members shall choose one of their number to perform those functions until the end of that period.
2 - O contrato ou a assembleia geral designam aquele dos membros efectivos que servirá como presidente; se o presidente cessar as suas funções antes de terminado o período para que foi designado ou eleito, os outros membros escolherão um deles para desempenhar aquelas funções até ao termo do referido período.
3. Full members of the supervisory board who are temporarily unable to act or whose functions have ceased are replaced by the alternates, but an alternate who is a statutory auditor replaces the full member who has the same qualification.
3 - Os membros efectivos do conselho fiscal que se encontrem temporariamente impedidos ou cujas funções tenham cessado são substituídos pelos suplentes, mas o suplente que seja revisor oficial de contas substitui o membro efectivo que tenha a mesma qualificação.
4. Alternates who replace full members whose functions have ceased remain in office until the first annual general meeting, which shall fill the vacancies.
4 - Os suplentes que substituam membros efectivos cujas funções tenham cessado mantêm-se no cargo até à primeira assembleia anual, que procederá ao preenchimento das vagas.
5. Where a vacancy of a full member cannot be filled because there are no elected alternates, the vacant offices, of both full members and alternates, are filled by a new election.
5 - Não sendo possível preencher uma vaga de membro efectivo por faltarem suplentes eleitos, os cargos vagos, tanto de membros efectivos como de suplentes, são preenchidos por nova eleição.
