1. The general meeting may remove from office, provided there is just cause, the members of the supervisory board, the statutory auditor or the sole supervisor who were not appointed by the court.
1 - A assembleia geral pode destituir, desde que ocorra justa causa, os membros do conselho fiscal, o revisor oficial de contas ou o fiscal único que não tenham sido nomeados judicialmente.
2. Before the resolution is adopted, the persons concerned must be heard at the meeting on the facts alleged against them.
2 - Antes de ser tomada a deliberação, as pessoas visadas devem ser ouvidas na assembleia sobre os factos que lhes são imputados.
3. At the request of the management or of those who applied for the appointment, the court may remove from office the members of the supervisory board, the statutory auditor or the sole supervisor appointed by the court, if there is just cause for doing so, and a new court appointment must be made if the court orders the removal.
3 - A pedido da administração ou daqueles que tiverem requerido a nomeação, pode o tribunal destituir os membros do conselho fiscal, o revisor oficial de contas ou o fiscal único judicialmente nomeados, caso para isso haja justa causa, devendo proceder-se a nova nomeação judicial, se o tribunal ordenar a destituição.
4. The members of the supervisory board and the auditors who have been removed from office must submit to the chair of the general meeting, within 30 days, a report on the supervision carried out up to the end of their term of office.
4 - Os membros do conselho fiscal e os revisores destituídos são obrigados a apresentar ao presidente da mesa da assembleia geral, no prazo de 30 dias, um relatório sobre a fiscalização exercida até ao termo das respectivas funções.
5. Once the report has been submitted, the chair of the general meeting must immediately provide copies to the management and to the supervisory board and, in due course, submit it to the general meeting for consideration.
5 - Apresentado o relatório, deve o presidente da mesa da assembleia geral facultar, desde logo, cópias à administração e ao conselho fiscal e submetê-lo oportunamente à apreciação da assembleia.
