1. The following may not be elected or appointed as members of the supervisory board, sole supervisor or statutory auditor:
1 - Não podem ser eleitos ou designados membros do conselho fiscal, fiscal único ou revisor oficial de contas:
a) Persons who benefit from special advantages granted by the company itself;
a) Os beneficiários de vantagens particulares da própria sociedade;
b) Persons who perform management functions in the company itself;
b) Os que exercem funções de administração na própria sociedade;
c) Members of the management bodies of a company in a relationship of control or a group relationship with the supervised company;
c) Os membros dos órgãos de administração de sociedade que se encontrem em relação de domínio ou de grupo com a sociedade fiscalizada;
d) A member of a general partnership which is in a relationship of control with the supervised company;
d) O sócio de sociedade em nome coletivo que se encontre em relação de domínio com a sociedade fiscalizada;
e) Persons who, directly or indirectly, provide services to, or establish a significant business relationship with, the supervised company or a company in a relationship of control or a group relationship with it;
e) Os que, de modo direto ou indireto, prestem serviços ou estabeleçam relação comercial significativa com a sociedade fiscalizada ou sociedade que com esta se encontre em relação de domínio ou de grupo;
f) Persons who perform functions in a competing undertaking and who act as its representative or on its behalf, or who are in any other way bound to the interests of the competing undertaking;
f) Os que exerçam funções em empresa concorrente e que atuem em representação ou por conta desta ou que, por qualquer outra forma, estejam vinculados a interesses da empresa concorrente;
g) Spouses, relatives by blood and relatives by marriage in the direct line and up to the third degree, inclusive, in the collateral line, of persons disqualified under points (a), (b), (c), (d) and (f), as well as the spouses of persons covered by point (e);
g) Os cônjuges, parentes e afins na linha reta e até ao 3.º grau, inclusive, na linha colateral, de pessoas impedidas por força do disposto nas alíneas a), b), c), d) e f), bem como os cônjuges das pessoas abrangidas pelo disposto na alínea e);
h) Persons who perform management or supervisory functions in five companies, with the exception of law firms, statutory audit firms and statutory auditors, to which the regime of Article 76 of Decree-Law No. 487/99 of 16 November applies;
h) Os que exerçam funções de administração ou de fiscalização em cinco sociedades, exceptuando as sociedades de advogados, as sociedades de revisores oficiais de contas e os revisores oficiais de contas, aplicando-se a estes o regime do artigo 76.º do Decreto-Lei n.º 487/99, de 16 de Novembro;
i) Statutory auditors in respect of whom other incompatibilities provided for in the legislation applicable to them exist;
i) Os revisores oficiais de contas em relação aos quais se verifiquem outras incompatibilidades previstas na respetiva legislação;
j) Adults subject to a support measure (maiores acompanhados) who depend on representation or prior authorisation to perform acts of a patrimonial nature, insolvent persons, and persons sentenced to a penalty entailing disqualification, even if temporary, from holding public office.
j) Os maiores acompanhados dependentes de representação ou de autorização prévia para a prática de atos patrimoniais, os insolventes e os condenados a pena que implique a inibição, ainda que temporária, do exercício de funções públicas.
2. The supervening occurrence of any of the grounds indicated in the preceding paragraphs causes the appointment to lapse.
2 - A superveniência de algum dos motivos indicados nos números anteriores importa caducidade da designação.
3. The appointment of a person in respect of whom any of the incompatibilities laid down in paragraph 1 of the preceding Article or in the company’s articles of association exists, or who does not have the capacity required by paragraph 3 of that Article, is void.
3 - É nula a designação de pessoa relativamente à qual se verifique alguma das incompatibilidades estabelecidas no n.º 1 do artigo anterior ou nos estatutos da sociedade ou que não possua a capacidade exigida pelo n.º 3 do mesmo artigo.
4. A statutory audit firm that is a member of the supervisory board must designate up to two of its auditors to attend the meetings of the supervisory and management bodies and of the general meeting of the supervised company.
4 - A sociedade de revisores oficiais de contas que fizer parte do conselho fiscal deve designar até dois dos seus revisores para assistir às reuniões dos órgãos de fiscalização e de administração e da assembleia geral da sociedade fiscalizada.
5. A law firm that is a member of the supervisory board must, for the purposes of the preceding paragraph, designate one of its partners.
5 - A sociedade de advogados que fizer parte do conselho fiscal deve, para os efeitos do número anterior, designar um dos seus sócios.
6. Auditors designated under paragraph 4 and partners of law firms designated under the preceding paragraph are subject to the incompatibilities provided for in paragraph 1.
6 - Os revisores designados nos termos do n.º 4 e os sócios de sociedades de advogados designados nos termos do número anterior ficam sujeitos às incompatibilidades previstas no n.º 1.
