1. The board of directors meets whenever it is convened by the chair or by two other directors.

2. The board must meet at least once a month, unless the articles of association provide otherwise.
2 - O conselho deve reunir, pelo menos, uma vez em cada mês, salvo disposição diversa do contrato de sociedade.
3. Directors must be convened in writing, with adequate notice, except where the articles of association provide for meetings on pre-set dates or for another form of convening.
3 - Os administradores devem ser convocados por escrito, com a antecedência adequada, salvo quando o contrato de sociedade preveja a reunião em datas prefixadas ou outra forma de convocação.
4. The board may not adopt resolutions unless a majority of its members is present or represented.
4 - O conselho não pode deliberar sem que esteja presente ou representada a maioria dos seus membros.
5. The articles of association may permit any director to be represented at a meeting by another director, by means of a letter addressed to the chair, but no instrument of representation may be used more than once.
5 - O contrato de sociedade pode permitir que qualquer administrador se faça representar numa reunião por outro administrador, mediante carta dirigida ao presidente, mas cada instrumento de representação não pode ser utilizado mais do que uma vez.
6. A director may not vote on matters in which the director has, on their own account or on behalf of a third party, an interest that conflicts with that of the company; in the event of a conflict, the director must inform the chair of it.
6 - O administrador não pode votar sobre assuntos em que tenha, por conta própria ou de terceiro, um interesse em conflito com o da sociedade; em caso de conflito, o administrador deve informar o presidente sobre ele.
7. Resolutions are adopted by a majority of the votes of the directors present or represented and of those who, where the articles of association so permit, vote by correspondence.
7 - As deliberações são tomadas por maioria dos votos dos administradores presentes ou representados e dos que, caso o contrato de sociedade o permita, votem por correspondência.
8. Unless prohibited by the articles of association, board meetings may be held by telematic means, provided that the company ensures the authenticity of the statements and the security of the communications and records their content and the participants.
8 - Se não for proibido pelos estatutos, as reuniões do conselho podem realizar-se através de meios telemáticos, se a sociedade assegurar a autenticidade das declarações e a segurança das comunicações, procedendo ao registo do seu conteúdo e dos respectivos intervenientes.
