1. The company’s articles of association must fix the number of absences from meetings, whether consecutive or not, without a justification accepted by the management body, that results in the director’s permanent absence.

3. Where a director is permanently absent, the director must be replaced as follows:

a) By the chair calling on alternates, in the order in which they appear on the list submitted to the shareholders’ general meeting;
a) Pela chamada de suplentes efectuada pelo presidente, conforme a ordem por que figurem na lista submetida à assembleia geral dos accionistas;
b) Where there are no alternates, by co-optation, unless the directors in office are not sufficient in number for the board to be able to function;
b) Não havendo suplentes, por cooptação, salvo se os administradores em exercício não forem em número suficiente para o conselho poder funcionar;
c) Where there has been no co-optation within 60 days of the absence, the supervisory board or the audit committee appoints the replacement;

4. Co-optation and appointment by the supervisory board or by the audit committee must be submitted for ratification at the next general meeting.

5. Replacements made under paragraph 1 last until the end of the term for which the directors were elected.

6. Temporary replacements take place only in the event of suspension of directors, in which case paragraph 1 applies.

7. Where the office of a director elected under the special rules laid down in Article 392 falls vacant, the corresponding alternate is called and, if there is none, a new election is held, to which those special rules apply with the necessary adaptations.
7 - Faltando administrador eleito ao abrigo das regras especiais estabelecidas no artigo 392.º, chama-se o respectivo suplente e, não o havendo, procede-se a nova eleição, à qual se aplicam, com as necessárias adaptações, aquelas regras especiais.
