1. Any member of the board of directors may be removed from office by resolution of the general meeting at any time.
1 - Qualquer membro do conselho de administração pode ser destituído por deliberação da assembleia geral, em qualquer momento.
2. A resolution removing from office without just cause a director elected under the special rules laid down in Article 392 has no effect whatsoever if shareholders representing at least 20% of the share capital voted against it.
2 - A deliberação de destituição sem justa causa do administrador eleito ao abrigo das regras especiais estabelecidas no artigo 392.º não produz quaisquer efeitos se contra ela tiverem votado accionistas que representem, pelo menos, 20% do capital social.
3. One or more shareholders holding shares corresponding to at least 10% of the share capital may, as long as the general meeting has not been convened to resolve on the matter, apply for the judicial removal of a director on the ground of just cause.
3 - Um ou mais accionistas titulares de acções correspondentes, pelo menos, a 10% do capital social podem, enquanto não tiver sido convocada a assembleia geral para deliberar sobre o assunto, requerer a destituição judicial de um administrador, com fundamento em justa causa.
4. Just cause for removal includes, in particular, serious breach of the director’s duties and the director’s unfitness for the normal performance of the relevant functions.
4 - Constituem, designadamente, justa causa de destituição a violação grave dos deveres do administrador e a sua inaptidão para o exercício normal das respectivas funções.
5. If the removal is not based on just cause, the director is entitled to compensation for the damage suffered, in the manner stipulated in the contract concluded with the director or under the general law, but the compensation may not exceed the amount of remuneration that the director would presumably have received until the end of the term for which the director was elected.
5 - Se a destituição não se fundar em justa causa, o administrador tem direito a indemnização pelos danos sofridos, pelo modo estipulado no contrato com ele celebrado ou nos termos gerais de direito, sem que a indemnização possa exceder o montante das remunerações que presumivelmente receberia até ao final do período para que foi eleito.
