1. The powers of representation of the board of directors are exercised jointly by the directors, the company being bound by legal transactions concluded by the majority of the directors or ratified by them, or by a smaller number of them fixed in the articles of association.
1 - Os poderes de representação do conselho de administração são exercidos conjuntamente pelos administradores, ficando a sociedade vinculada pelos negócios jurídicos concluídos pela maioria dos administradores ou por eles ratificados, ou por número menor destes fixado no contrato de sociedade.
2. The articles of association may provide that the company is also bound by transactions concluded by one or more managing directors, within the limits of the board’s delegation.
2 - O contrato de sociedade pode dispor que esta fique também vinculada pelos negócios celebrados por um ou mais administradores delegados, dentro dos limites da delegação do conselho.
3. Notifications or declarations from third parties to the company may be addressed to any of the directors, and any provision to the contrary in the articles of association is void.

4. Notifications or declarations by a director addressed to the company must be sent to the chair of the board of directors or, where the chair is the author, to the supervisory board or the audit committee.
4 - As notificações ou declarações de um administrador cujo destinatário seja a sociedade devem ser dirigidas ao presidente do conselho de administração ou, sendo ele o autor, ao conselho fiscal ou à comissão de auditoria.
