1. In addition to any other duties laid down in the articles of association, the company secretary is responsible for:
1 - Para além de outras funções estabelecidas pelo contrato social, compete ao secretário da sociedade:
a) Acting as secretary at meetings of the corporate bodies;
a) Secretariar as reuniões dos órgãos sociais;
b) Drawing up the minutes and signing them together with the members of the corporate bodies concerned and, in the case of the general meeting, the chair of the general meeting;
b) Lavrar as actas e assiná-las conjuntamente com os membros dos órgãos sociais respectivos e o presidente da mesa da assembleia geral, quando desta se trate;
c) Keeping, safeguarding and maintaining in order the minute books and minute sheets, the attendance lists and the share register, as well as the related correspondence;
c) Conservar, guardar e manter em ordem os livros e folhas de actas, as listas de presenças, o livro de registo de acções, bem como o expediente a eles relativo;
d) Sending out the notices of meeting required by law for meetings of all the corporate bodies;
d) Proceder à expedição das convocatórias legais para as reuniões de todos os órgãos sociais;
e) Certifying the signatures of members of the corporate bodies affixed to the company’s documents;
e) Certificar as assinaturas dos membros dos órgãos sociais apostas nos documentos da sociedade;
f) Certifying that all copies or transcripts taken from the company’s books or from filed documents are true, complete and up to date;
f) Certificar que todas as cópias ou transcrições extraídas dos livros da sociedade ou dos documentos arquivados são verdadeiras, completas e actuais;
g) Responding, within the scope of the secretary’s powers, to requests made by shareholders in the exercise of the right to information, and providing the information requested to members of the corporate bodies performing supervisory functions concerning resolutions of the board of directors or of the executive committee;
g) Satisfazer, no âmbito da sua competência, as solicitações formuladas pelos accionistas no exercício do direito à informação e prestar a informação solicitada aos membros dos órgãos sociais que exercem funções de fiscalização sobre deliberações do conselho de administração ou da comissão executiva;
h) Certifying the content, in whole or in part, of the articles of association in force, as well as the identity of the members of the company’s various bodies and the powers they hold;
h) Certificar o conteúdo, total ou parcial, do contrato de sociedade em vigor, bem como a identidade dos membros dos diversos órgãos da sociedade e quais os poderes de que são titulares;
i) Certifying up-to-date copies of the articles of association, of the resolutions of the members and of the management and of the current entries in the company’s books, and ensuring that they are delivered or sent to holders of shares who have requested them and paid the corresponding cost;
i) Certificar as cópias actualizadas dos estatutos, das deliberações dos sócios e da administração e dos lançamentos em vigor constantes dos livros sociais, bem como assegurar que elas sejam entregues ou enviadas aos titulares de acções que as tenham requerido e que tenham pago o respectivo custo;
j) Authenticating with the secretary’s initials all documentation submitted to the general meeting and referred to in its minutes;
j) Autenticar com a sua rubrica toda a documentação submetida à assembleia geral e referida nas respectivas actas;
l) Arranging for the registration of corporate acts subject to registration.
l) Promover o registo dos actos sociais a ele sujeitos.
2. The certifications made by the secretary referred to in points (e), (f) and (h) of paragraph 1 of this Article replace, for all legal purposes, a commercial registry certificate.
2 - As certificações feitas pelo secretário referidas nas alíneas e), f) e h) do n.º 1 deste artigo substituem, para todos os efeitos legais, a certidão de registo comercial.
All eleven points of paragraph 1 (a to l, without k) and the rule that certifications under points (e), (f) and (h) replace a commercial registry certificate for all legal purposes are retained.
