1. The executive board of directors must report to the general and supervisory board:
1 - O conselho de administração executivo deve comunicar ao conselho geral e de supervisão:
a) At least once a year, the management policy it intends to pursue, together with the facts and issues that fundamentally determined its choices;
a) Pelo menos uma vez por ano, a política de gestão que tenciona seguir, bem como os factos e questões que fundamentalmente determinaram as suas opções;
b) Quarterly, before the meeting of that board, the company’s position and the development of its business, stating in particular the volume of sales and services provided;
b) Trimestralmente, antes da reunião daquele conselho, a situação da sociedade e a evolução dos negócios, indicando designadamente o volume de vendas e prestações de serviços;
c) At the time laid down by law, the complete management report for the preceding financial year.
c) Na época determinada pela lei, o relatório completo da gestão, relativo ao exercício anterior.
2. The executive board of directors must inform the chair of the general and supervisory board of any transaction that may have a significant influence on the company’s profitability or liquidity and, generally, of any situation that is abnormal or important for any other reason.
2 - O conselho de administração executivo deve informar o presidente do conselho geral e de supervisão sobre qualquer negócio que possa ter influência significativa na rentabilidade ou liquidez da sociedade e, de modo geral, sobre qualquer situação anormal ou por outro motivo importante.
3. The information provided for in the preceding paragraphs includes events relating to companies in a relationship of control or a group relationship, where they may affect the position of the company concerned.
3 - Nas informações previstas nos números anteriores incluem-se as ocorrências relativas a sociedades em relação de domínio ou de grupo, quando possam reflectir-se na situação da sociedade considerada.
4. In addition to the supervision exercised by the committee referred to in Article 444(2), the chair of the general and supervisory board may require from the executive board of directors such information as the chair considers appropriate or as another member of the board requests from the chair.
4 - Além da fiscalização exercida pela comissão referida no n.º 2 do artigo 444.º pode o presidente do conselho geral e de supervisão exigir do conselho de administração executivo as informações que entenda convenientes ou que lhe sejam solicitadas por outro membro do conselho.
5. The chair of the general and supervisory board, a delegated member appointed by that body for that purpose and the members of the committee provided for in Article 444(2) have the right to attend meetings of the executive board of directors.
5 - O presidente do conselho geral e de supervisão, um membro delegado designado por este órgão para o efeito e os membros da comissão prevista no n.º 2 do artigo 444.º têm o direito de assistir às reuniões do conselho de administração executivo.
6. The members of the committee provided for in Article 444(2) must attend the meetings of the executive board of directors at which the annual accounts are considered.
6 - Os membros da comissão prevista no n.º 2 do artigo 444.º devem assistir às reuniões do conselho de administração executivo em que sejam apreciadas as contas do exercício.
7. All information received from the executive board of directors in any of the circumstances provided for in paragraphs 2, 3 and 4, as well as information obtained through attendance at the meetings provided for in paragraphs 5 and 6, must be passed on to all the other members of the general and supervisory board in good time and, at the latest, at that board’s first meeting.
7 - Todas as informações recebidas do conselho de administração executivo, nalguma das circunstâncias previstas nos n.os 2, 3 e 4, bem como informações obtidas em virtude da participação nas reuniões previstas nos n.os 5 e 6, devem ser transmitidas a todos os outros membros do conselho geral e de supervisão, em tempo útil, e o mais tardar na primeira reunião deste.
