Buying property in Portugal through a company: IMT, stamp duty, IMI and AIMI in 2026
Four taxes decide what Portuguese property costs a company: IMT and stamp duty on the purchase, IMI and AIMI every year after. Two 2026 changes have moved the numbers, and most English-language guides have missed them: a flat 7.5% IMT for non-resident buyers of housing since 25 May, and a 10% rate for moderate-rent leases. The rules by buyer, a calculator, and owning personally against an Lda or a foreign company.
Two changes most guides still miss
Both come from Decreto-Lei 97/2026 of 20 May, a housing package.
Since 25 May 2026, IMT is always 7.5%, with no exemption or reduction, when a non-resident buys an urban property intended exclusively for housing (art. 17.º(10) CIMT). The decree has no entry-into-force article, so the general five-day rule gives 25 May. Offices, shops, land and rustic property keep their ordinary rates, and the 10% blacklist rate still prevails.
Paid up front, partly refundableRent from a housing lease within the moderate-rent limit, received until 31 December 2029, is taxed at 10% in IRS unless a better rate applies (art. 45.º-C(1) EBF). Companies count only 50% of it (art. 45.º-C(2) EBF). It applies from 1 January 2026. The limit is 2.5 times the €920 minimum wage, so €2,300 a month, tested on the whole rent including furniture and services billed separately.
Until 2029The 2026 tables come from Lei 73-A/2025. In the other-housing table the 8% band ends at €633,931, not €660,982, as the AT’s consolidated text confirms.
Two when you buy, two every year you hold
| Tax | When | Charged on | Rate for a company |
|---|---|---|---|
| IMT | Once, before the deed | Price or VPT, if higher | Housing table, 6.5% other urban, 5% rustic; 7.5% or 10% (below) |
| Stamp duty | With IMT | The purchase value | 0.8%, any buyer |
| IMI | Yearly, owner on 31 December | VPT | 0.3% to 0.45% urban; 0.8% rustic; 7.5% if in or controlled from a listed jurisdiction |
| AIMI | Yearly, owner on 1 January | VPT of housing and building land | 0.4%, no allowance; 7.5% if in a listed jurisdiction |
Stamp duty under verba 1.1 of the Stamp Duty Table. IMT base under art. 12.º(1) CIMT; IMI rates under art. 112.º CIMI; AIMI rates under art. 135.º-F CIMI.
The VPT (valor patrimonial tributário) is the tax value on the caderneta predial, in Lisbon typically well below the price. A loan adds its own stamp duty, 0.6% for five years or more plus 4% on interest: €1,800 on €300,000 over 25 years. A mortgage signed with the loan pays nothing extra.
Which table a company is on, and when the tax is due
The acquirer pays IMT (art. 4.º CIMT), self-assessed on the Modelo 1 return (art. 19.º(1) CIMT) before the transfer (art. 22.º(1) CIMT) and paid within 30 days, or the assessment lapses (art. 36.º(1) CIMT). In practice the notary asks for proof of payment at the deed.
| Property | Buyer | 2026 rate | Basis |
|---|---|---|---|
| Own permanent home | Individuals only | 0% up to €106,346, then 2, 5, 7 and 8% bands to €660,982 | art. 17.º(1)(a) CIMT |
| First own home, buyer 35 or under | Individuals only | Exempt up to €330,539 | art. 9.º(2) CIMT |
| Other housing | Resident buyers, every Portuguese company | 1% from the first euro, then 2, 5, 7 and 8% bands to €633,931 | art. 17.º(1)(c) CIMT |
| Both tables, above the bands | As above | 6% of the whole value to €1,150,853; 7.5% above | Same paragraph |
| Offices, shops, industrial, land for construction | Any buyer | 6.5% | art. 17.º(1)(e) CIMT |
| Rustic property | Any buyer | 5% | art. 17.º(1)(d) CIMT |
| Housing | Non-resident buyer | 7.5% flat | art. 17.º(10) CIMT |
| Anything | Company in, or controlled from, a listed jurisdiction | 10% flat | art. 17.º(4) CIMT |
Bands and cliffs. Within the bands, the value up to the top of the last full band is taxed at that band’s published average rate and the excess at the next marginal rate (art. 17.º(3) CIMT). Above them, 6% and 7.5% apply to the whole value. One euro over €1,150,853 therefore costs about €17,263 in every housing table.
A company is always on the other-housing table for residential property: the own-home table and the young-buyer exemption are for individuals. A Portuguese Lda buying a €500,000 flat pays €27,300.03, what a resident individual pays for a second home.
Buying to resell is exempt for a buyer registered in that activity (art. 7.º(1) CIMT). Unless the buyer shows resales in each of the two previous years, the IMT is still paid and is refunded on request after a resale within a year (art. 7.º(2) to (4) CIMT). The exemption lapses if the property is not resold within one year (art. 11.º(5) CIMT), not the three years older guides quote (see the AT’s text). Rehabilitation is open to companies: property over 30 years old or in a rehabilitation area can be bought free of IMT if works start within three years (art. 45.º(2)(b) EBF), with three years without IMI after completion (art. 45.º(2)(a) EBF).
Moving a flat you already own into your company is a new purchase. A contribution to capital is an IMT event (art. 2.º(5)(e) CIMT), and so is the company handing it to shareholders on liquidation (art. 2.º(5)(f) CIMT). Choose the owner before the deed.
7.5% up front, and two ways to get part of it back
Three situations are carved out of the 7.5%.
The buyer has been considered tax resident under art. 16.º CIRS, a test only a person can pass.
The buyer pays 7.5% and claims the difference within six months of becoming resident.
Within six months the property is let as housing at no more than €2,300 a month, for at least 36 months in the first five years. The claim is due within six months of the lease.
The AT refunds the difference from the normal rates on request (art. 17.º(11) CIMT and art. 17.º(12) CIMT). On a €500,000 flat that is €10,199.97 down to the other-housing table, or €11,263.31 if the buyer moves in and it becomes an own home. That second figure rests on our reading, which the AT has not confirmed.
Foreign companies. The text speaks of a non-resident acquirer and, unlike the blacklist rule (art. 17.º(7) CIMT), does not distinguish individuals. On the wording of the law, a UK limited company buying a Lisbon flat pays 7.5%, with only the moderate-rent let as a way back. The AT has published no guidance yet. A Portuguese Lda is resident, so it pays the ordinary table unless it is controlled from a listed jurisdiction.
10%, 7.5% and 7.5%: the blacklist hits companies, not people
The list is Portaria 150/2004. After Portaria 292/2025/1, in force since 1 January 2026, the UAE is still item 22; Hong Kong, Liechtenstein and Uruguay were removed.
- IMT 10% on any purchase (art. 17.º(4) CIMT); control means domination under art. 486.º CSC, direct or indirect (art. 17.º(8) CIMT)
- IMI 7.5% of the VPT (art. 112.º(4) CIMI)
- AIMI 7.5% of the VPT of its housing, where the company itself is in the listed jurisdiction (art. 135.º-F(5) CIMI); the text does not extend this to a company merely controlled from one
- Deemed rent of 1/15 of the VPT a year if the property is not let, for a non-resident company domiciled there (art. 56.º(2) CIRC)
- No AIMI credit against corporate tax, also where a listed entity holds the property only indirectly (art. 135.º-J(3) CIMI)
- None of the three aggravations (art. 17.º(7) CIMT, art. 112.º(17) CIMI, art. 135.º-F(6) CIMI)
- As a non-resident, 7.5% IMT on a flat, not 10%
- Ordinary IMI and the €600,000 AIMI allowance
On a €250,000 VPT, a Dubai company pays €37,500 a year in IMI and AIMI, plus about €4,167 of tax on deemed rent if the flat stands empty. The rest of what the UAE listing costs is in our comparison of Portugal, Spain and the UAE.
Purchase taxes and annual taxes, by buyer
Enter the price and the VPT, choose the property and the buyer. The calculator applies the 2026 rules above and shows what it assumed.
One €500,000 Lisbon flat, four buyers
A flat bought in 2026 for €500,000 in cash, with an assumed VPT of €250,000 and an IMI rate of 0.3%.
| Portuguese Lda | Non-resident individual (e.g. UK resident) | Foreign company, not blacklisted (e.g. UK Ltd) | Company in a listed jurisdiction (e.g. UAE) | |
|---|---|---|---|---|
| IMT rule | Other-housing table | 7.5% flat | 7.5% flat (our reading) | 10% |
| IMT | €27,300.03 | €37,500 | €37,500 | €50,000 |
| Stamp duty 0.8% | €4,000 | €4,000 | €4,000 | €4,000 |
| Purchase taxes | €31,300 | €41,500 | €41,500 | €54,000 |
| IMI a year | €750 | €750 | €750 | €18,750 |
| AIMI a year, from 2027 | €1,000 | €0 (under €600,000) | €1,000 | €18,750 |
| Annual property taxes | €1,750 | €750 | €1,750 | €37,500 |
The Lda’s IMT: €330,539 × 4.1578% = €13,743.15, plus €169,461 × 8% = €13,556.88. The deduction shortcut gives €27,300.11. IMI over €500 is paid in three instalments.
The Lda saves €10,200 at purchase against both non-resident buyers, then pays €1,000 a year of AIMI that the individual does not, or €1,750 if the family uses the flat. The same €500,000 as an office costs every buyer 6.5% IMT (€32,500), except one in or controlled from a listed jurisdiction, and carries no AIMI.
- Model the purchase and five years of holding for you, a Portuguese Lda and your existing foreign company.
- Register the buyer (NIF, tax representative), assess IMT and stamp duty, and check the VPT and municipal rate before the deed.
- Keep the accounts, the IMI and AIMI calendar and the IRC return, and file any refund claim within six months.
The annual tax, owed by whoever owns on 31 December
IMI is due from the owner on 31 December (art. 8.º(1) CIMI) and assessed from February to April of the next year (art. 113.º(2) CIMI). A company that buys in December 2026 pays the full 2026 IMI in 2027.
Rates. Rustic property pays 0.8% of the VPT (art. 112.º(1)(a) CIMI); urban property between 0.3% and 0.45%, set yearly by the municipality (art. 112.º(5) CIMI), or up to 0.5% in municipalities under a financial-support programme (art. 112.º(18) CIMI). Lisbon has kept the 0.3% legal minimum in recent years, as reported.
Instalments (art. 120.º(1) CIMI): up to €100, May; up to €500, May and November; above that, May, August and November. In 2026 the May instalment moved to 1 June. Every other dated deadline is in our reporting calendar.
| Increase or reduction | Effect | Basis |
|---|---|---|
| Vacant for over a year, or in ruins | Rate tripled | art. 112.º(3) CIMI |
| Pressure zones: vacant, ruins, housing land | 10 times the rate, plus 20% a year, capped at 20 times; the municipality may double the cap for a company owner | art. 112.º-B(1) CIMI and art. 112.º-B(3) CIMI |
| Pressure zones: local accommodation, or housing neither let nor a home | Up to +100% and up to +25%; on our reading 50% for a company | art. 112.º(19) CIMI and art. 112.º(20) CIMI |
| Let property in defined areas | Up to −20% | art. 112.º(7) CIMI |
The family reduction (art. 112.º-A CIMI) and the own-home exemption (art. 46.º EBF) are for individuals. For a company, IMI is a deductible cost under art. 23.º CIRC.
No allowance for companies, and a trap for the holiday flat
AIMI is charged on owners of Portuguese urban property (art. 135.º-A(1) CIMI) on the sum of their VPTs (art. 135.º-B(1) CIMI), as at 1 January (art. 135.º-A(3) CIMI): a flat bought in 2026 first counts for 2027. It is assessed in June (art. 135.º-G(4) CIMI) and paid in September (art. 135.º-H(1) CIMI).
The base is housing and land for construction. Commercial, industrial, services and “other” urban property is excluded (art. 135.º-B(2) CIMI), and rustic land is not urban. Offices, shops and warehouses pay no AIMI.
| Individual | Company | Company housing used by shareholders | Company in a listed jurisdiction | |
|---|---|---|---|---|
| Allowance | €600,000 (art. 135.º-C(2) CIMI); €1.2m jointly (art. 135.º-D(1) CIMI) | None | None | None |
| Rate | 0.7%; 1% from €1m to €2m; 1.5% above €2m | 0.4% (art. 135.º-F(1) CIMI) | 0.7% / 1% / 1.5% (art. 135.º-F(4) CIMI) | 7.5% |
| Flat with a €250,000 VPT | €0 | €1,000 | €1,750 | €18,750 |
| Against income tax | Credit against IRS on rent (art. 135.º-I(1) CIMI) | Cost, or a capped credit against IRC (art. 135.º-J(1) CIMI) | Same | No credit |
The individual’s €1m and €2m thresholds are measured on the VPT before the allowance (art. 135.º-F(2) CIMI and art. 135.º-F(3) CIMI): €1.5m of housing VPT costs €7,800 a year, €900,000 costs €2,100.
The trap is the holiday flat in the Lda. Company housing used personally by a shareholder, a manager, or their spouses, ascendants or descendants is taxed at the individual rates with no allowance, and must be listed in the IRC return annex (art. 135.º-F(7) CIMI). On a €250,000 VPT that is €1,750 a year, against €0 if you owned the flat personally and nothing else. The benefit in kind is a separate question.
Buying the company instead of the building
Acquiring shares counts as a transfer of the property when three conditions meet (art. 2.º(2)(d) CIMT): more than half the company’s assets are Portuguese property, at book value or VPT if higher; that property is not used directly in an agricultural, industrial or commercial activity, property dealing excluded; and one shareholder ends up with at least 75%, or only two spouses or partners remain. Listed companies are outside (art. 2.º(7) CIMT). The base is the VPT in proportion to the holding, or the balance-sheet value if higher (art. 12.º(4) CIMT, rule 19.ª).
The rate is an open point. Article 17 has no line for share deals. Practice applies the rate for the property behind the shares; some read the 6.5% for “other acquisitions”. We have seen no AT ruling, and stamp duty on such a deal is equally unconfirmed. Price both readings.
The seller’s side. Portugal taxes non-residents’ gains on shares in Portuguese companies (art. 4.º(3)(b) CIRC) and in foreign entities deriving over half their value from Portuguese property (art. 4.º(3)(f) CIRC), subject to treaties:
| Seller resident in | Shares in a property-rich company |
|---|---|
| United States | Article 14(2) of the Portugal–US treaty: shares in a company whose property is principally Portuguese real estate count as Portuguese property |
| United Kingdom | Article 13(2) of the Portugal–UK treaty (2025 Convention): over 50% of value from immovable property in the 365 days before the sale |
| Spain, France | Article 13(2) of the Portugal–Spain treaty and Article 14(1) of the Portugal–France treaty, as modified by the MLI: the same test |
| Switzerland, UAE | Article 13(3) of the Portugal–Switzerland treaty and Article 13(4) of the Portugal–UAE treaty: over 50% of value |
| Germany, Netherlands | Article 13(4) of the Portugal–Germany treaty and Article 13(4) of the Portugal–Netherlands treaty: no such clause, so taxable only where the seller lives |
| Brazil | Article 13(4) of the Portugal–Brazil treaty: may be taxed in both States |
Gains on the property itself are taxable in Portugal under every treaty listed. The holding regime’s exemption for gains on shares also switches off for property-rich companies: see the Portuguese holding regime.
Personally, an Lda or a foreign company: a simplified comparison
One property, no financing, before profit extraction. Not advice for your case.
| Individual | Portuguese Lda | Foreign company, no Portuguese establishment | |
|---|---|---|---|
| Tax on rent | 25% residential, 28% other (art. 72.º(2) CIRS) | 19% IRC in 2026 (art. 87.º(1) CIRC), plus surcharge | 25% (art. 87.º(4) CIRC) |
| Moderate-rent lease | 10% | Only 50% of the rent counted | Not modelled |
| Deductions | No depreciation or financing costs (art. 41.º(1) CIRS) | Depreciation, interest within limits, IMI, AIMI | IRS rental rules (art. 56.º(1) CIRC) |
| Gain on sale | 50% of the gain, at progressive rates (art. 43.º(2)(b) CIRS) | Whole gain; no reinvestment relief for investment property (art. 48.º(10) CIRC) | 25%; computation open |
| Annual IMI + AIMI, €250k VPT | €750 + €0 | €750 + €1,000 | €750 + €1,000 |
| Getting the money out | Already yours | Dividends or salary: a second layer | Depends on the company’s country |
Individuals. The 25% residential rate falls by 10 to 20 points for leases of five years or more (art. 72.º(3) to (5) CIRS). EU and EEA residents may opt for the resident rates on the 28% non-residential rent (art. 72.º(15) CIRS); the text does not list the 25% residential rate. On a sale, non-residents are taxed on half the gain at the progressive rates, set by reference to their worldwide income (art. 22.º(3)(a) CIRS). For sales from 2026 to 2029, gains on housing reinvested in Portuguese housing let at moderate rents are excluded, with a five-year lock-in (art. 10.º(7) CIRS).
A Portuguese Lda. Rent is part of profit (art. 3.º(1)(a) CIRC), at 19% in 2026, 18% in 2027 and 17% from 2028. The 15% SME rate on the first €50,000 needs an economic activity carried on as the main activity (art. 87.º(2) CIRC); whether one let flat qualifies is our reading, so we model both rates. Only the building is depreciated: where the deed does not split the price, land is taken as 25% (article 10(3) of Decreto Regulamentar 25/2009). The rate is typically around 2% a year on the building share, but a second-hand building uses its expected remaining life (article 5(2)(a) of the same decree). Profit then has to reach you: see paying yourself from a Portuguese company and the surcharges in our corporate tax guide.
A foreign company without a permanent establishment is taxed at 25% on Portuguese rent and gains (art. 4.º(3)(a) CIRC). It must appoint a tax representative unless resident in the EU, or the EEA with equivalent cooperation (art. 126.º(1) and (2) CIRC), and files a Modelo 22 by the end of May for rent and within 30 days of a sale (art. 120.º(5)(a) and (b) CIRC). It needs a Portuguese NIF before the purchase. Whether the half-gain rule of the IRS carries over to it is not settled; we check it on the facts.
In short, a company wins where there are costs to deduct and lettings to run. The individual wins on gains, on the AIMI allowance and on simplicity. A company holding a home nobody rents pays AIMI from the first euro and has little income to set its costs against.
Short lets and the 2027 budget
Short lets. Lei 56/2023 restricted new local-accommodation registrations; Decreto-Lei 76/2024 reversed several of those rules and handed powers to municipalities, so check the municipality first. In pressure zones, IMI on local accommodation can be raised by up to 100% where the municipality adopts it (art. 112.º(19)(a) CIMI).
The 2027 budget is a proposal. According to the OCC’s analysis, it would raise the IMT bands by 2.3%, with the 8% band of the other-housing table ending at €648,511, and leave the rates alone. As reported, it does not change IMI, AIMI or stamp duty rates. The calculator uses the 2026 law.
Before the deed, and what not to assume
- Decide who owns before the deed
- Get the VPT and compare it with the price
- Diary the six-month refund window
- Check the owner chain for listed jurisdictions
- That companies pay 10% IMT: only blacklisted ones do
- That a company gets the €600,000 AIMI allowance
- That buying shares avoids IMT
- That a building is always depreciated at 2%
What buyers ask before the deed
Does a company pay more IMT than an individual?
A Portuguese company pays the same table as a resident individual buying a second home: 1% from the first euro, rising to 8%, then 6% or 7.5% on the whole value (art. 17.º(1)(c) CIMT). What a company never gets is the own-home table or the young-buyer exemption, which are for individuals. Two buyers pay more: a non-resident buyer of housing pays 7.5% flat since 25 May 2026, unless one of the exceptions applies, and a company in or controlled from a listed jurisdiction pays 10%.
I live abroad. Should I buy through a Portuguese Lda to avoid the 7.5%?
A Portuguese Lda is resident, so the 7.5% non-resident rule does not reach it. It pays the ordinary table unless it is controlled from a listed jurisdiction. But the company pays AIMI at 0.4% from the first euro, more if you or your family use the flat, keeps accounts and files every year, and taxes the money again when it comes out. Those costs have to be weighed against the IMT saving, so model both before the deed.
Can I get the 7.5% back?
Part of it, in two cases: you become resident within two years of the purchase, or within six months you let the property as housing at no more than €2,300 a month, for at least 36 of the first 60 months. You pay the 7.5% first and claim the difference from the normal rate within six months of becoming resident or signing the lease (art. 17.º(11) and (12) CIMT). On a €500,000 flat that is about €10,200.
Does my UK or US company pay the 7.5%?
On the wording of the law, yes. The rule speaks of a non-resident acquirer with no limit to individuals, and the residence exception only works for a person. The AT has not yet published guidance. A foreign company can still use the moderate-rent refund route.
When are IMI and AIMI first paid on a flat bought in 2026?
IMI for 2026 is charged to whoever owns the flat on 31 December 2026 and paid in 2027, in up to three instalments in May, August and November. AIMI looks at ownership on 1 January, so a flat bought during 2026 first counts for 2027 AIMI, assessed in June and paid in September 2027.
Is buying the shares of a property company a way round IMT?
Not if the company is mainly Portuguese property not used in a business and the purchase leaves one shareholder with 75% or more, or only two spouses or partners as shareholders: that is taxed as a transfer of the property itself (art. 2.º(2)(d) CIMT). Which IMT rate then applies is not settled in the text, and nor is stamp duty, so both possibilities need pricing.
Can I still get a golden visa by buying property?
No. The property-based investment routes have been revoked, and the remaining investment routes cannot be directed, directly or indirectly, to real estate (art. 3.º(5) Lei 23/2007).
Does the 2027 budget change these taxes?
As proposed, it raises the IMT bands by 2.3% and leaves the rates alone. Reported analyses of the bill find no change to IMI, AIMI or stamp duty rates. It is a proposal until the final law is published, expected at the end of November or in December 2026.

Choose the owner before you sign the promissory contract
Tell us the property, the price and who would own it. We model the purchase taxes and five years of IMI, AIMI and income tax for you personally, a Portuguese Lda and your existing company, then register the buyer, assess the IMT and keep the company compliant afterwards. If owning personally is cheaper, we will say so.
